1. Service Details
{name} of {businessName} wishes to hire Your Digital Healer to provide services for a System Tune Up Week.
What is included in this service:
Week 1: Plan & gather
- Business questionnaire
- 1 hour kickoff call via Zoom to map out business needs and create a plan for implementation in week 2
- Gather assets needed including passwords, photography, and copy
Week 2: Build & train
- 8 hours of focused implementation time
- Daily reports and communication via Slack
- 1 hour handoff call via Zoom
- Personalized SOP documentation for completed system builds
2. Working Agreements
In order for Your Digital Healer to provide the best service, we ask that you commit to the following:
Timely Responses: In order for me to implement your systems in a week, I ask that you be available to respond to questions within 1 hour timeframe via a chat app called Slack. If I don't get an answer within that timeframe, I will move on to the next task.
Transparency: Occationally we will ask you to provide details about your business specifically around how you operate, your current finances and aspirations, and how you work with clients. This can sometimes trigger emotions or beliefs around where you think you should be. We hold no judgment on what stage you are at in your business, so the more detail that you provide us, the better we can help you get to where you want to be. We also respect that some information is confidential and will honor your specific requests with withhold information.
Access: Since we will be setting up, updating, and managing some of your business tools, we will need access to software. Your Digital Healer uses LastPass to share account login information and will request that you sign up for a free account to share your passwords safetly. We will try to make accomodations if you do not want to use that platform.
3. Payment
Payment Details
The total cost of services is $844, paid in full. Total Cost is inclusive of Contractor’s Services, any setup time, and subcontractor costs.
Additional Fees
Software Fees: Due to the nature of these services, there is a high likelyhood that there will be additional software license fees to help manage and automate the systems that we will be implmenting. Software license fees are not included in the
Total Cost of services. We will present our recommendations at our kickoff call and the Client will be responsible for purchaing a license in a timely manner (within 48 hours of initial request). Most systems have budget-friendly options and we will do our best to work within your budget range.
Additional requests: Contractor’s hourly rate is $65 per each hour spent on Client’s Services over the allotted amount of time purchased.
4. Referral Program
We welcome your referrals! If you are satisfied with Your Digital Healer services, please share our website with your peers. For every paid referral that you send us, you will receive a 10% discount off future work on any service with Your Digital Healer. Visit https://www.yourdigitalhealer.com/feedback to notify us when you refer a friend. Offer is only valid for referrals that have signed a contract and have mentioned you as their referrer on our intake form. Multiple referral discounts can be applied to a service.
5. Intellectual Property Rights
Any and all work created as a result of Contractor’s Services is considered a work for hire and are expressly assigned to and owned by Client upon creation. Parties own their respective trademarks and intellectual property used in the normal and separate course of their business and agree not to infringe upon or otherwise use each other’s respective intellectual property except for in the course of providing Client with its Services.
6. Confidentiality
The Parties acknowledge that in the course of our providing Services to you, it may be necessary for either of us to disclose certain confidential and proprietary information of our respective companies to the other. The parties agree that neither of us shall disclose or use, either during or after the Services are completed, any proprietary or confidential information of the other party without such party’s prior written permission, except to the extent necessary for us to perform the Services as set forth in this Agreement.
7. Publicity
Client agrees that Contractor may use the Client’s name, logo, and/or image (but not contact information or personal information) and materials created by Contractor in performance of the Services in Contractor’s advertising or promotional literature and may publish articles, blog posts, or other advertising and promotional material relating to the Client and the Services. Contractor agrees to limit the selection, timing, and method of release of any materials under this section as requested by Client. Client releases Contractor from any and all liability, including but not limited to infringement of any right to privacy or right to publicity, relating to or arising out of publicity of Client’s name, logo, and/or image as permitted in this section.
8. Limit of Liability
Client agrees that the maximum amount of damages they are entitled to in any claim of or relating to this Agreement or Services provided herein are not to exceed Contractor’s total cost as set forth in this Agreement.
9. Indemnification
Client agrees to indemnify and hold harmless Contractor and its employees, agents and independent contractors for any injury, property damage, liability, claim or other cause of action arising out of or related to Services provided herein.
10. Cancellation & Refunds
If you need to reschedule an appointment, please give 48 hours notice, otherwise a missed session will count as a session (unless itʼs an emergency). There are no refunds given for our work together.
11. Governing Laws
The laws of Oregon State govern all matters arising under or relating to this Agreement, including torts.
