  • The master agreement tends to get the most attention during negotiations, but the statement of work is where the actual work gets defined and where many disputes originate. Vague scope descriptions, loosely defined pricing structures, unstated assumptions, and unrealistic schedules lead to disagreements that even a well-drafted MSA can't always resolve.

In this webinar, Laura Frederick, Marybeth Stramaglia, and Akiva Miller will walk through how to draft the core sections of an SOW. The discussion will focus on the drafting decisions in-house lawyers face when putting together or reviewing SOWs, whether they're working from a template or negotiating a vendor's form.

    Key topics include:

    • Writing scope descriptions that are specific enough to be enforceable without being so rigid they can't accommodate real-world changes
    • Structuring pricing provisions, including fixed fee, time and materials, and hybrid models, and the tradeoffs of each
    • Identifying and documenting assumptions so both sides are working from the same understanding of what's included and what's not
    • Drafting schedules and milestones that create accountability without setting up a party for automatic breach
    • How scope, pricing, assumptions, and schedule interact with each other, and why drafting them in isolation causes problems
