  • Release and Waiver Agreement


    In consideration of Westchester Reform Temple (“WRT”) accepting *   *[name of teen participant] as a participant in WRT’s Program, the undersigned *   *
    [name of teen participant] and *   *[name of parent/guardian] jointly and severally agree (the “Agreement”) as follows:

    1. Trip to Anne Frank Exhibit
    This trip is planned by WRT. We will meet at WRT, travel by bus to the Center for Jewish History in New York City, and return to WRT by bus following the conclusion of the event. We will have a guided tour led by museum staff.

    2. Travel Arrangements
    WRT and its employees, members, officers, directors, donors, successors and assigns, neither own nor operate any entity or person which is to, or does, provide goods or services for the Program (collectively, the “Operators”). Because WRT does not maintain any control over the personnel, equipment or operations of the Operators, WRT assumes no responsibility for, and cannot be held liable for, any bodily injury, personal injury, death, property damage, or other loss, accident, delay, inconvenience, or irregularity which may be occasioned by reason of (i) any wrongful, negligent, willful, or unauthorized acts or omissions on the part of any of the Operators, (ii) any defect in or failure of any facility, vehicle, equipment or instrument owned, operated or otherwise by any Operator (collectively, “facilities”), (iii) any wrongful, willful, or negligent act or omissions on any part of any Operator or any other party not under the control of WRT or (iv) sickness, weather, strikes, hostilities, wars, terrorist acts, acts of nature, local laws or other such causes. All services and accommodations are subject to the laws and regulations of the country in which they are provided. Further, WRT is not responsible for any baggage or personal effects of any individual participating in the Program. It is understood and agreed that WRT assumes no responsibility whatsoever and shall not be held responsible for (i) the operation and management of any of the facilities which may be employed by WRT in connection with the Participant’s travel to, from or within the Location, (ii) any facilities employed by WRT in connection with the Participant’s attending and participating in the Program or (iii) any damages or claim arising from or in connection with (i) and/or (ii) above.

    3. Modification and Cancellation of the Program
    WRT may alter or modify the content or itinerary of the Program, or any of the arrangements made in connection with the Program including, with respect to the Participant’s attendance and participation in the Program, when WRT deems it necessary and/or appropriate, without the prior consent of, notice to, or liability to the undersigned or the Participant.

    The undersigned agree(s) that WRT is not and shall not be liable to, or responsible to, the undersigned and/or to the Participant for any loss or damage which the undersigned and/or the Participant may incur, regardless of cause or reason, as a result of (i) any delay, modification or cancellation of the Participant’s departure from or return to WRT; (ii) the modification, curtailment or cancellation by any party (WRT, the undersigned and/or the Participant) of the Program or the Participant’s participation in all or a portion thereof, (iii) the delay, modification, curtailment or cancellation, in whole or in part, of any of the arrangements pertaining to services to be provided for, and/or facilities to be furnished in connection with, the Program.

    4. Consents, Authorizations & Assumption of Risks.
    (a) Medical Authorization. The undersigned has/have consulted a physician of undersigned’s own choice and has/have been advised by such physician that (i) the Participant is in good health and (ii) does not suffer from any physical, emotional, or mental ailment or disability (including any allergies) which requires any medical or surgical care or treatment which would make the Participant’s travel to or from the Location, or the Participant’s sojourn in the Location and/or participation in the Program, hazardous, unwise, unwarranted or a potential source of danger to the Participant, members of the WRT staff and/or administration, or others who may travel, be sheltered, or participate in the Program with the Participant. To the extent the Participant has disclosed to WRT that the Participant has any allergies, WRT will make reasonable efforts to accommodate the Participant but cannot guarantee that the Participant will not be exposed to certain foods or other allergens, and Participant and the undersigned accept and assume any and all risks, hazards and dangers arising out of the Participant’s participation regardless of whether they are detailed in this Agreement and acknowledge that, to the maximum extent permitted by law, the waivers, releases and indemnities in this Agreement and any other agreement that the undersigned have executed or may execute in connection with the Program, apply to all such risks, hazards and dangers.

    (b) Hazardous Activities. The Program may involve activities and take place at locations that may be hazardous and dangerous and that may expose the Participant to risks of physical or emotional injury whether or not the Participant participates in the activities, and may carry with them the risk of death, serious physical injury, extreme emotional distress, physical illness, non-consensual physical contact and loss of property (“Hazardous Activities”). Such Hazardous Activities may include travel, or strenuous or dangerous psychological or physical activities. The Participant understands the risks of participating in such Hazardous Activities, and freely consents to and assumes such risks. WRT does not make any representations or warranties about other Program participants or of any other person whom the Participant may encounter in connection with the Program participation, including the physical or mental health of any such person. WRT has made no representations or warranties of any kind regarding the Participant’s or others’ qualifications, ability or fitness to participate in the Program.

    (c) Capability to Perform. The Participant represents and warrants that the Participant is physically and emotionally capable of performing any activities that might be required of a Program participant. The Participant will notify WRT prior to participating in the Program of any physical or emotional condition that might affect the Participant or anyone else involved in the Program. Moreover, the Participant will notify WRT immediately if the Participant has any concern about participating in any Program activity. The Participant understands that the Participant and the undersigned are solely responsible for determining whether the Participant is capable of participating in the Program and that, if the Participant is unable to participate in any activities or events, the Participant may be removed or otherwise eliminated from the Program.

    (d) Assumption of Risks. The foregoing is not an exhaustive list of the risks, hazards and dangers to which the Participant may be exposed as a result of Program participation. The Participant and the undersigned accept and assume any and all risks, hazards and dangers arising out of the Participant’s participation in the Program, regardless of whether they are detailed in this Agreement, and acknowledge that, to the maximum extent permitted by law, the waivers and releases in this Agreement apply to all such risks, hazards and dangers.

    5. Photography and Video Release.
    It is understood that while participating in the Program, the Participant may be photographed, appear in video or audio recordings or some other such medium that may be reproduced and used by WRT (or other entities) for advertising and/or promotional purposes.

    The undersigned, do/does hereby grant and convey unto WRT all right, title and interest in any and all photographic images and video or audio recordings made by WRT during the Participant’s participation in the Program, including, but not limited to, any royalties, proceeds or other benefits derived from such photographs or recordings.

    The undersigned hereby release(s) WRT and all persons acting under the authority of WRT, for the reproduction, use or publication of such photographs, videos, recordings, etc., and acknowledge(s) that the same are the sole and exclusive property of WRT and waive(s) the right to inspect the finished product, the copy used in conjunction therewith and the use to which it may be applied.

    6. Release.
    It is the intention for the Participant (or if under the age of 18, his/her parent guardian) by this agreement to exempt and relieve WRT and its officers, agents, servants, employees, successors and assigns from any liability, including any financial responsibility, for personal injury, property damage or loss, or wrongful death of the Participant, including any caused by an act of negligence of WRT and its officers, agents, servants and/or employees.

    Accordingly, by signing below, the undersigned and the Participant, jointly and severally, hereby release and discharge WRT, its officers, agents, servants, employees, successors and assigns from any and all claims, demands, actions, causes of action, damages, judgments, executions and other liabilities (known and unknown, foreseen and unforeseen) with respect to any property damage, bodily injury, personal injury, illness, disease or death, which the undersigned and/or the Participant has/have or may have, or which the undersigned’s and/or the Participant’s heirs, representatives, successors or assigns have or may have, against WRT, its officers, agents, servants, employees, successors and assigns, caused by, or arising from, or related to, the Participant’s participation in the Program, including travel to, in and from the Location (the “Released Claims”).

    The Released Claims shall include, but not be limited to, those based on the negligence of any of the Released Parties or any of the other participants in the Program, products liability, breach of contract, breach of any statutory or other duty of care owed under applicable laws, libel, slander, defamation, invasion of privacy, right of publicity or personality, misappropriation, intentional infliction of emotional distress, negligent infliction of emotional distress and infringement of copyright.

    (a) Construction. This Agreement is intended to operate and be construed as broadly as possible under applicable law. Accordingly, to the extent applicable law would limit this Section 6 in any way, or invalidate any of its provisions, such limitation or invalid provision shall not operate to invalidate this Section 6 in its entirety; rather, this Section 6 shall be deemed to operate and to be effective to the maximum extent permitted by law.

    (b) Choice of Law. This Agreement and all related matters shall be governed by the laws of the State of New York applicable to contracts executed and performed entirely therein, without regard to the conflict of law principles thereof, and the parties hereby consent to the personal jurisdiction of any state or federal court located in the City of New York and the State of New York.

    (c) -Partial Invalidity. In the event that any provision hereof shall be invalid or unenforceable due to any law, said provision shall be modified to the minimum extent necessary to effect compliance with such law, and in any event such invalidity or unenforceability shall have no effect upon the remaining terms and condition hereof.

    (d) Entire Agreement. This Agreement contains the entire understanding between the parties, and supersedes all prior negotiations, understandings and agreements (whether written or oral) of the parties hereto relating to the subject matter herein, and this Agreement cannot be changed or terminated except by a writing signed by both WRT and the undersigned. In agreeing to and entering into this Agreement, the undersigned and the Participant acknowledge that they have not relied upon any statement or representation, express or implied, of WRT (or any employee or agent of WRT) other than as specifically and explicitly set forth herein.

    7. Acknowledgement
    Each undersigned intends his or her signature to be a complete and unconditional release of all liability by WRT, its officers, agents, servants, employees, successors and assigns, to the greatest extent allowed by law, and if any portion of the Release or this Agreement is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.
