    Esteemed KGNU Community,

    At the November 2025 KGNU Board of Directors meeting, the Board took the feedback from the October Board meeting and public input to revise the previous motion to update the bylaws regarding Board Member eligibility requirements to reduce barriers to board participation, and at the December and January meetings the feedback period was extended to the February 2026 Board of Directors meeting. 

    The board so:

    MOVED, that the Board publish for public comment, and consider at its next regular meeting, the following Bylaws amendment:

    4.1.3 Board Member Requirements
    In order to become a Board Member, a Board Candidate must have been interviewed and elected by the Board.]
       Amend §4.1.1 to delete the indicated text in red:
    4.1.1 Board Applicant Requirements
     
    In order to qualify for an interview with the KGNU Nominating Committee, a person must comply with all of the following conditions:
    • Be a current KGNU Member in good standing for over one year,
    • Endorse KGNU’s Mission… [remainder unchanged]
     
    Amend §4.2 as follows:
    4.2 Board Member Election
     
    To be elected to the Board, a candidate must receive at least two-thirds of the votes cast by Board Members in attendance at a regularly scheduled Board meeting. For voting guidelines, see Article 6.3 Voting.
     
    The election vote on a candidate shall not be held if that candidate would, at the start of their term, cause more than 25% of Board Members to be KGNU Members for less than one year. This limit can be waived under the conditions and procedures described in Article 4.4.2 Imminent Insufficient Board Membership.
     
    Amend §4.4.2 as follows:
     
    4.4.2 Imminent Insufficient Board Membership
     
    In the case of a looming drop in  When within the next 75 days, Board membership will drop below the minimum, within  after this or the next two regularly scheduled Board meetings, the following constraints Application Requirements, as outlined in Article 4.1.1, Board Applicant Requirements, may can be waived for specified individuals by a majority vote of Board Members, with the consent of the Nominating Committee, at the next regularly scheduled Board meeting in order to abridge the application and nomination process for a specific individual:
     
    • Applicant Requirements, as outlined in Article 4.1.1 Board Applicant Requirements; and/or
    • 25% limit of Board Members who have been KGNU Members for less than one year; see Article 4.2 Board Member Election
