Manifest Magic Black Girl Cooperative Confidentiality & Non-Disclosure Agreement (NDA) Housing Rehab Project
This Confidentiality and Non-Disclosure Agreement ("Agreement") is entered into between the undersigned contractor ("Recipient") and Manifest Magic Black Girl Cooperative ("MMBGC") for the purpose of evaluating a potential contractual relationship regarding the Housing Rehab Project ("Project").
1. Confidential Information Recipient acknowledges that they may receive or have access to confidential information including but not limited to property details, inspection reports, project plans, and internal documentation. Recipient agrees not to disclose, reproduce, or use this information for any purpose other than submitting a proposal and completing the scope of work if selected.
2. No Public Disclosure Recipient shall not publicly discuss or post about the property, project, donor, or the nature of this opportunity without express written permission from MMBGC. This includes but is not limited to social media, marketing, news media, or word-of-mouth promotion.
3. Use of Information Any information provided to Recipient may only be used for the sole purpose of evaluating the project scope and submitting a bid. It may not be used to solicit donors, clients, or duplicate this program model.
4. Return or Destruction of Materials Upon request, the Recipient agrees to return or permanently delete all documentation received related to the Project.
5. Term This Agreement shall remain in effect indefinitely, even after the bidding process is closed, unless otherwise terminated in writing by MMBGC.
6. Remedies Recipient acknowledges that any unauthorized disclosure or misuse of confidential information may cause irreparable harm to MMBGC. In such case, MMBGC shall be entitled to seek injunctive relief, in addition to any other remedies available by law.
7. No Obligation to Award This NDA does not obligate MMBGC to award a contract or enter into any business arrangement with the Recipient.
