  • 1. Purpose of Agreement

    This Agreement outlines the terms and conditions under which {ownerName} (owner) temporarily transfers possession of the items listed in Save the Tiles (custodian) collection for storage and conservation purposes. The Owner acknowledges that the items remain the exclusive property of the Owner, and the Custodian’s role is to care for and conserve the items.

    2. Duration of Custody

    The temporary custody period shall begin on 01/07/2025 and shall end on 01/07/2028, unless extended by mutual written consent. Either Party may terminate this agreement earlier by providing 14 days written notice. Any amendments or modifications to this Agreement must be in writing and signed. The Agreement shall be governed by the laws of The State of California.

    3. Custodian’s Responsibilities

    The Custodian agrees to:

    • Provide conservation services in a manner consistent with industry standards, within the operational capacity of Save The Tiles.
    • Maintain the items in a secure storage for the length of custody.
    • Exercise due diligence in safeguarding the items and preventing damage, loss, theft, or unauthorized access, to the best of our abilities.
    • Notify the Owner of any significant developments, including restoration progress, damage, or issues requiring immediate attention.
    • Allow the Owner to inspect the items upon reasonable notice and at mutually agreed times.
    • Agree not to loan, donate or sell items without consent from owner so long as Save the Tiles is able contact owners within 90 days 
    • Agree not to display tiles without consent from owner so long as Save the Tiles is able to contact owner within 14 days    

    4. Owner’s Responsibilities

    The Owner agrees to:

    • Grant permission to Save the Tiles to execute all necessary testing to ensure the safe handling and treatment of items.
    • Stay in active communication with Save the Tiles for updates on continuing treatments, amendments to storage and treatment agreements.
    • Agrees that Save The Tile can use images of items for promotional or documentation purposes.
    • Agrees that all correspondence regarding further authorization be responded to within 14 days for internal changes (testing, moving storage locations, non-aggressive treatments) and 90 days for external changes (aggressive treatments, exhibiting, loaning, and de-acquisition)

  • 5. Liability release

    Save the Tiles is not responsible for damages or loss of items in their care. The Owner shall indemnify and hold the Custodian harmless against any third-party claims relating to the ownership or provenance of the items.

    Save the Tiles reserves the right to decline services and return items at any time, with appropriate communication and advance notice.

    Save the Tiles does not guarantee that treated items will be returned to original (like new) condition / function.

    Save the Tile reserves the rights to move, handle, and treat items as needed to stay true to the core mission. If consent cannot be secured prior to action, Save the Tiles may act in the way they determine best serves the collection, in accordance with conservation standards. 

    6. Restoration and Handling of Artifacts

    The Custodian agrees to:

    • Conduct all work with the utmost care and in compliance with ethical guidelines, including any relevant national or international standards (e.g., AIC Code of Ethics, UNESCO conventions) to the best of our abilities.
    • Seek the Owner’s prior written consent for any irreversible or major changes to items.

    7. Confidentiality

    Both Parties agree to maintain the confidentiality of proprietary or personal information, including techniques, processes, locations and  methods used in conservation, and not to disclose such information to third parties without prior written consent, except as required by law.

    8. Dispute Resolution

    Any disputes arising under this Agreement will be resolved through mediation/arbitration, following the laws of The State of California.
