Urban Trendsetters, LLC Service Agreement
By submitting this order and completing payment, I ("Client") agree to the following terms and conditions with Urban Trendsetters, LLC ("UTS"):
1. Services
UTS agrees to provide the marketing, advertising, and promotional services included in the package selected by the Client at the time of purchase. Services may include, but are not limited to, magazine listings or advertisements, website listings, television and radio promotions, social media promotion, interviews, press releases, email marketing, and other promotional services as specified in the selected package.
2. Client Responsibilities
The Client agrees to provide all requested materials, including but not limited to:
Business logo
Photos
Business description
Contact information
Website and social media links
Any additional content required for production
The Client represents that all submitted materials are owned by the Client or that the Client has permission to use them.
3. Production Schedule
Production will begin after: Payment has been received in full.
The required onboarding form has been completed.
All requested materials have been submitted.
Production timelines may vary depending on the completeness of the submitted materials.
4. Content Approval
UTS reserves the right to edit submitted content for grammar, formatting, length, clarity, and design consistency while preserving the overall intent of the Client's message. Client must approve all content prior to distribution.
5. Advertising Placement
Advertising schedules, publication dates, broadcast times, and promotional rotations are subject to programming schedules, production deadlines, inventory availability, and operational requirements.
6. Payment
Payment is due at the time of registration unless otherwise agreed to in writing by Urban Trendsetters, LLC.
Work will not begin until payment has been received.
7. Refund Policy
Because advertising space, production time, and promotional inventory are reserved upon purchase, all payments are non-refundable once production has begun.
If the Client fails to provide the required materials in a timely manner, UTS will make reasonable efforts to complete the project using the information available. Failure to submit requested materials does not constitute grounds for a refund.
8. Intellectual Property
The Client retains ownership of all original logos, trademarks, and materials submitted.
The Client grants Urban Trendsetters, LLC a non-exclusive license to use submitted materials for the purpose of producing and promoting the purchased services.
Unless otherwise agreed in writing, creative materials produced by UTS remain the property of Urban Trendsetters, LLC until paid for in full.
9. Promotional Rights
The Client grants Urban Trendsetters, LLC permission to feature the Client's business, logo, images, videos, testimonials, and promotional materials across its media platforms, including television, radio, print, websites, social media, presentations, and future promotional materials related to the Founding 100 campaign.
10. Limitation of Liability
Urban Trendsetters, LLC does not guarantee any specific sales results, customer inquiries, revenue increases, website traffic, or business outcomes resulting from participation in this campaign.
11. Indemnification
The Client agrees to indemnify and hold harmless Urban Trendsetters, LLC, its owners, employees, contractors, and affiliates from any claims arising from materials supplied by the Client or from the Client's products, services, or business activities.
12. Governing Law
This Agreement shall be governed by the laws of the State of Ohio.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the services purchased and supersedes any prior verbal or written discussions concerning those services.
Client Acknowledgement
By checking the box below and submitting this order, I acknowledge that I have read, understood, and agree to the terms of this Service Agreement. I understand that this electronic acceptance is legally binding and has the same force and effect as my handwritten signature.
