Purpose of Agreement

This Vendor Waiver outlines the responsibilities, requirements, and liability terms for all third‑party vendors providing services at The Ranch on Vinton Rd (“Venue”). By signing, Vendor acknowledges and agrees to comply with all Venue rules and policies.

Liability Release

Vendor agrees to:

Assume full responsibility for their equipment, staff, and services while on Venue property.

Release and hold harmless The Ranch on Vinton Rd, its owners, staff, and affiliates from any claims, damages, injuries, losses, or accidents arising from Vendor’s actions, equipment, or services.

Accept liability for any damage caused to Venue property by Vendor, its staff, or subcontractors.

The Venue is not responsible for theft, loss, or damage to Vendor equipment or personal property.

Cleanliness: Vendor must leave their area clean and remove all trash, equipment, and materials. 

Insurance Requirements

Vendor must:

Carry general liability insurance with a minimum coverage of $1,000,000.

Provide a Certificate of Insurance (COI) naming:
The Ranch on Vinton Rd as additional insured.

Submit COI no later than 14 days before the event.

Vendors without proper insurance may be denied access to the property.

Venue Rules & Policies

Vendor agrees to follow all Venue rules, including:

Arrival & Setup: Vendor must adhere to scheduled load‑in and load‑out times.

Prohibited Items: No open flames (unless approved), no nails/staples in walls, no glitter/confetti unless permitted.

Alcohol: Only Venue‑approved bartending services may serve alcohol.

Conduct: Vendor staff must behave professionally and respectfully at all times.

Failure to follow rules may result in removal from the property. 

Social Media & Public Sharing

All parties agree to:

Share only positive, professional images of the Venue

Use the Venue’s official social media links when tagging

Avoid posting images before the event is fully set

Remove any image upon Venue request

Content Standards (Family‑Friendly Requirement)

All images and video must be family‑friendly, respectful, and appropriate for public viewing.
The following are strictly prohibited:

·Sexual or suggestive content

·Nudity or implied nudity

·Weapons or violent imagery

·Content portraying the Venue, owners, or animals negatively

·Behind‑the‑scenes content of private or unfinished spaces

·Any imagery that harms the Venue’s reputation

The Venue may request removal of any image that violates these standards.

Safety & Compliance

Vendor agrees to:

Follow all fire, safety, and electrical regulations.

Use only properly maintained equipment.

Ensure all cords, cables, and equipment are safely secured to prevent tripping hazards.

Comply with all local, state, and federal laws.

Animal Safety & Respect

·The Venue houses live animals. All parties agree to:

·Avoid entering animal areas without permission

·Avoid feeding or interacting with animals unless approved

·Avoid loud noises, flashes, or actions that may distress animals

·Avoid unsafe or inappropriate posing with animals

Any harm to animals results in immediate removal and financial responsibility for veterinary care.

Indemnification

Vendor agrees to indemnify and defend The Ranch on Vinton Rd against any claims arising from:

Vendor’s negligence

Vendor’s equipment failure

Vendor’s staff or subcontractors

Any injury or damage caused by Vendor’s services 

Termination of Access

The Venue reserves the right to:

Deny entry

Remove Vendor from the property

Halt Vendor operations- if Vendor violates Venue policies or poses a safety risk.

By signing below, Vendor acknowledges they have read, understood, and agree to all terms of this Vendor Waiver.
