ONE-TIME FEE AGREEMENT FOR TAX SERVICES
This One-Time Fee Agreement ("Agreement") is entered into as of, by and between Amanda Tax Service LLC, a limited liability company ("Company"), and the undersigned client ("Client").
1. Services: The Company agrees to provide tax preparation and related services to the Client for the tax year, and the Client agrees to engage the Company for these services.
2. Fee Structure: In consideration for the one-time tax services provided, the Client agrees to pay the Company a one-time fee equal to 10% of the total value of the services rendered. The total fee shall be calculated based on the agreed-upon rate applied to the final invoiced amount.
3. Payment Terms: Payment of the one-time fee is due within 3 [three] days of the issuance of the invoice by the Company.
4. Invoicing: The Company shall provide the Client with a detailed invoice itemizing the services provided and the corresponding one-time fee. Invoices will be sent to the Client's address or email provided.
5. Additional Expenses: Any additional expenses incurred by the Company in the course of providing services (e.g., travel expenses, document retrieval fees) shall be billed separately and are not included in the one-time fee.
6. Late Payments: In the event that the Client fails to make payment within the specified period, the Company reserves the right to suspend services and charge a late fee as outlined in Section 3.
7. Termination: Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement. In such a case, the Client shall be responsible for any fees incurred up to the termination date.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state, without regard to its conflict of law principles.
9. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.
