CRAT4CRAFTERS LTD BOOKING TERMS & CONDITIONS
Definitions:
Exhibitor: "Exhibitor" refers to any individual, group of individuals, or company to whom exhibition space is allocated upon request, including their employees or agents.
Exhibit: "Exhibit" refers to any item or article as stated in the application for exhibition space.
Stand: "Stand" refers to the area allocated to an Exhibitor and any structure erected thereon.
Hall: "Hall" refers to the building where the exhibition is held, including any adjoining areas or additional rooms utilised in connection with the exhibition.
Authority: "Authority" refers to any legally authorised body responsible for enforcing relevant regulations.
Contractors: "Contractors" refers to any individual, firm, or company employed by the Owner, Organisers, or Exhibitor to undertake the erection, fitting-out, or any other work on any stand within the exhibition.
Conditions:
Application for Space: All applications for exhibition space must be submitted on the form provided by the Organisers, and should include details of the proposed Exhibit.
PAYMENT TERMS
1.1 Deposit:
Where the contract is signed more than two months but less than ten months before the show, a deposit of 25% of the total fee is required upon signing. The remaining balance of 75% is due two months prior to the show.
For contracts signed within two months of the show, the full amount (100%) is payable at the time of signing.
1.2 Exclusions from Exhibitor Fee:
The Exhibitor Fee excludes costs for insurance, cleaning, loading and handling of equipment, staffing, telephones, exhibit dressing, advertising, and promotional materials, which are the Exhibitor's responsibility unless otherwise agreed in writing.
1.3 Time and Non-Payment:
Time is of the essence for all payments due under this Contract. If the Exhibitor fails to make any payment due or breaches any of the Contract’s terms, conditions, or regulations, the Organisers reserve the right to: Revoke the License granted by this Contract, and Re-enter the allocated exhibition space, removing the Exhibitor and their associates without liability.
This revocation shall be without prejudice to the Organisers' rights to recover any outstanding fees and seek compensation for any losses incurred due to the Exhibitor’s breach.
CANCELLATION OF BOOKING
2. Cancellation of a stand booking must be submitted in writing to the Organisers and is subject to the following terms:
i) More than 6 months before the show: 25% of the total booking cost is due and payable by the Exhibitor.
ii) Between 3 and 6 months before the show: 50% of the total booking cost becomes due and payable by the Exhibitor.
iii) Less than 3 months before the show: 100% of the total booking cost is due and payable by the Exhibitor.
GENERAL TERMS
3. Contractors: If an Exhibitor is permitted to use its own contractor, such contractor may only enter the Hall at times and on terms specified by the Organisers. The Exhibitor may not, without the Organisers' written consent, employ any other contractor than the electrical or plumbing contractor officially appointed by the Organisers.
4 .Conduct: If the Exhibitor, or any of its representatives or employees, conducts themselves on the premises in a way considered objectionable or obstructive by the Organisers or their authorized officers, they may be expelled from the premises without further access during the exhibition. The Organisers reserve the right to terminate the Exhibitor’s Licence to occupy their Stand if they consider the Exhibitor’s conduct may cause dissatisfaction or discredit. This termination does not affect the Organisers' rights to retain all fees paid and to recover any outstanding fees or damages.
5. Subletting of Space: No Exhibitor may sublet or share their allocated space without the written consent of the Organisers.
6. Distribution of Goods and Materials: The sale or distribution of samples, goods, or promotional materials must comply with all applicable laws and regulations and requires prior written permission from the Organisers. The sale of food, beverages, or tobacco products is restricted to those supplied by the Owners or their agents.
7. Interference with Utilities: No Exhibitor may connect to or interfere with the Hall’s utilities without prior consent from the Organisers and Owners, and any work must be performed by authorized contractors at the Exhibitor’s expense.
8. Exhibits: Only items described in the Contract may be exhibited. The Organisers reserve the right to remove items they deem explosive, flammable, obscene, or harmful, with the Exhibitor covering the cost.
9. Restrictions on Equipment Use: The Organisers may restrict the display or operation of equipment deemed disruptive, including loudspeakers, amplifiers, and musical instruments.
10. Delivery and Removal of Goods: Exhibitors must follow specified procedures for the delivery, receipt, and removal of goods, including removal of all exhibits immediately after the exhibition closes.
11. Stand Operation: Exhibitors must ensure their Stands are properly staffed, equipped, and maintained during all hours the exhibition is open to the public.
12. Errors and Layout Changes: The Organisers accept no liability for any errors in space allocation but will attempt to offer alternative arrangements if possible. They reserve the right to alter the Hall layout as necessary without liability, and such changes do not entitle the Exhibitor to cancel the Contract.
13. Postponement or Abandonment: If the exhibition is postponed, abandoned, or restricted due to events beyond the Organisers' control, including natural disasters, strikes, or power failure, the Exhibitor has no claim against the Organisers. Exhibitors are responsible for arranging insurance to cover such eventualities, and the Organisers retain a lien on goods for unpaid accounts.
14. Further Regulations: The Organisers may establish additional rules for the exhibition's operation and will inform Exhibitors of any updates. Any waiver of these conditions does not release the Exhibitor from their obligations.
15. Compliance with Regulations: The Exhibitor must comply with all relevant regulations issued by the Local Authority, Fire Authority, Police, and Landlord. Exhibitors are prohibited from causing damage to the Hall or its fixtures and are liable for any damages incurred.
16. Organiser Liability: The Organisers are not liable for any loss, theft, damage, or injury suffered by the Exhibitor, their agents, or property. The Exhibitor shall indemnify the Organisers against any loss, damage, injury, or claims arising from the Exhibitor’s activities.
17. Insurance and Indemnity Requirements:
- Responsibility: Exhibitors must secure their own insurance policies to cover all risks specified in this contract, including but not limited to abandonment, property damage, and public liability.
Minimum Coverage:
- Abandonment Insurance: As noted in Clauses 13 and 16, Exhibitors must have insurance that covers losses due to abandonment or cancellation.
- Stand and Property Insurance: Exhibitors must maintain insurance for loss, theft, or damage to their property, fixtures, and any personal effects of personnel.
- Public and Employer’s Liability: Exhibitors must hold a minimum of £5 million Public Liability and £10 million Employers' Liability coverage and must provide proof of coverage upon request by Craft4Crafters Ltd.
By signing this contract, the Exhibitor confirms they have these insurances in place for the exhibition’s duration.
18. Distribution of Advertising Material: Printed materials may only be distributed from the Exhibitor’s Stand, and advertisements may not be affixed to any part of the building.
19. Demonstrations: Any demonstrations must not cause obstruction or interfere with other Exhibitors’ business. The Organisers reserve the right to stop any demonstration without liability for losses.
20.Jurisdiction: This contract shall be governed by and construed in accordance with English law, and the parties hereby submit to the jurisdiction of the English courts.
