Terms & Conditions for the supply of Hands Rolled ice cream by Arctic Stone Foods

By booking Arctic Stone Foods and/or equipment hire with us you automatically agree to these terms and conditions.
1. Definitions
In these conditions, the following expressions have the following meanings:
“Arctic Stone Foods” – Maharg Enterprises Ltd.. whose registered office is at Schuyler House, Tankardstown, Ratoath, Co. Meath A85 HV00– Company No. 743805.
1. Agreement: This agreement (hereinafter referred to as the "Agreement") is made between Arctic Stone (hereinafter referred to as "Supplier") and the client (hereinafter referred to as "Client") for the supply of ice cream at a booked event (hereinafter referred to as the "Event").
2. General
2.1 Maharg Enterprises Ltd T/A Arctic Stone Foods will ensure that their Ice Cream and Equipment are against all normal insurable risks but not further or otherwise. The Customer must effect its insurance cover against consequential loss of profit and other Risks and must effect its cover against loss, damage, or theft of any of its equipment brought onto the studio. Under no circumstances will Maharg Enterprises Ltd T/A Arctic Stone Foods entertain any claims arising out of any failure of the Customer to effect its insurance cover. The Customer must ensure that their Public Liability insurance is operative for all persons in the studio or event during the hours of use to cover any accident, injury, or death.
2.2 These Conditions constitute the entire contract and may not be varied otherwise than in writing signed by a duly authorised signatory on behalf of Maharg Enterprises Ltd T/A Arctic Stone Foods
2.3 Full details of the Maharg Enterprises Ltd T/A Arctic Stone Foods services and charge rates are set out in the 'Rates, Kit and Crew' which may be varied by Maharg Enterprises Ltd T/A Arctic Stone Foods without notice.
2.4 Nothing in these Conditions is intended to exclude restrict or modify liability on the part of Maharg Enterprises Ltd T/A Arctic Stone Foods resulting from negligence or otherwise unless permitted by Statute.
3. Ice Cream Supply: The Supplier agrees to supply a variety of ice cream flavours’, toppings, and related accessories as agreed upon with the Client. The ice cream will be freshly prepared and served on-site during the Event.
4. Event Details: The Client shall provide the Supplier with all necessary information regarding the date, time, duration, location, and expected number of attendees for the Event. Any changes or updates to the Event details should be communicated to the Supplier promptly.
4.1 Pricing and Payment: The Client agrees to pay the Supplier the agreed-upon fee for the ice cream supply at the Event. Payment terms, including any deposit requirements and due dates, will be outlined in the invoice provided by the Supplier. Late payments may be subject to additional charges.
4.2 If the Customer wishes to postpone or cancel a confirmed booking this must be done at least 7 days before the hire period starts to get a full refund or the following cancellation fees will apply. A working day shall be defined as any day except bank and public holidays in Ireland.
• Between six and five working days before the shoot – Booking Deposit
• Between four and three working days before the shoot – 50% cancellation fee • Two working days before the shoot – 50% cancellation fee
• One working day before the shoot – 80% cancellation fee
• On the day of the shoot – 100% cancellation fee (no refund)
4.3 Bookings may only be extended with the prior consent of Maharg Enterprises Ltd T/A Arctic Stone Foods, and published overtime rates will apply to hires that run over the booked time. Customers must ensure that setup and de-rig time takes place within the hours booked.
4.4 Unless otherwise agreed in writing all transactions will be settled in agreement with Maharg Enterprises Ltd T/A Arctic Stone Foods before the commencement of the hire period. Prices may be varied without notice to the Customer.
4.5 Any due amount unpaid shall be liable to interest at 5% above the Bank of Ireland base rate.
4.6 Where Maharg Enterprises Ltd T/A Arctic Stone Foods are required to place a security deposit with any third party for the hire of any item of equipment such deposit shall be paid to Maharg Enterprises Ltd T/A Arctic Stone Foods by the Customer when the booking is made

7. Exclusions of Liability
Maharg Enterprises Ltd T/A Arctic Stone Foods shall not be liable to the Customer for any loss damage expense liability or for any consequential loss (including loss of profit) whatsoever or howsoever arising out of or in connection with any of the following:
a. any damage to or loss of property by the Customer or the Customers servants or agents or any third party.
b. any breakdown stoppage or failure of the facilities and Equipment provided at the event or any other Equipment supplied to the Customer by Maharg Enterprises Ltd T/A Arctic Stone Foods
c. Any death or injury occasioned to any Customer or servant or agent of any Customer occasioned by the use of the Studio or any Equipment unless such death or injury is directly attributable to the negligence of Maharg Enterprises Ltd T/A Arctic Stone Foodsor the servants or agents of Maharg Enterprises Ltd T/A Arctic Stone Foods.
d. for any fines and/or legal costs incurred by Maharg Enterprises Ltd T/A Arctic Stone Foods or the Customer for any activity connected with the hire of Arctic Stone or Equipment.
e. any failure on the part of Maharg Enterprises Ltd T/A Arctic Stone Foods to comply with its obligations to the Customer due to any circumstances beyond the control of Maharg Enterprises Ltd T/A Arctic Stone Foods.
8. Indemnity
The Customer shall at all times keep Maharg Enterprises Ltd T/A Arctic Stone Foods indemnified against all actions proceedings costs charges claims expenses and demands whatsoever which may be made or brought against Maharg Enterprises Ltd T/A Arctic Stone Foods or the servants or agents of Maharg Enterprises Ltd T/A Arctic Stone Foods by any third party in respect of any alleged injury loss damage or expense arising out of or in connection with the use of Arctic Stone or Equipment or services supplied by Maharg Enterprises Ltd T/A Arctic Stone Foods even where such injury loss damage or expense is caused wholly or in part by the negligence or breach of contract of Maharg Enterprises Ltd T/A Arctic Stone Foods its director's servants or agents save in respect of any death or personal injury caused by the negligence of Maharg Enterprises Ltd T/A Arctic Stone Foods as aforesaid.
9. Termination
Maharg Enterprises Ltd T/A Arctic Stone Foods may summarily terminate any hire contract with the Customer upon the happening of any of the following events:
a. if the Customer shall fail to pay any of the monies due to Maharg Enterprises Ltd T/A Arctic Stone Foodsor dishonour any cheque paid to it; or
b. if the Customer enters into liquidation (other than for the purposes of amalgamation or reconstruction) or shall have a Receiver of its assets appointed or being an individual shall be declared bankrupt or having a Receiving order made against them;
c. if the Customer shall be in breach of any of the terms of these Conditions and any such termination shall be without prejudice to any rights accrued to Maharg Enterprises Ltd T/A Arctic Stone Foods against the Customer before the date of termination.
10. Applicable Law
These Conditions shall be read and construed in accordance with the Laws of Ireland.
11. Variation
These Terms and Conditions shall not be varied except by agreement in writing.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Supplier and the Client and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
13. By engaging the services of Arctic Stone for the ice cream supply at the Event, the Client acknowledges that they have read, understood, and agreed to comply with the above terms and conditions.
FORCE MAJEURE: Every effort will be made to carry out the contract, but its due performance is subject to cancellation by us or to such variation as we may find necessary as a result of the inability to secure labour, materials or supplies as a result of an act of God, war, strike, lockout or other labour dispute, fire, flood, weather conditions, legislation or other such cause (whether of forgoing class or not) as may be agreed by the customer. *The above-listed prices are subject to the following
