CLIENT DESIGN AGREEMENT
Custom Digital Room Design Board
By submitting this form, you (“Client”) agree to the terms outlined below with Philomena & Co. LLC (“Designer”).
1. Scope of Services
Designer will provide one (1) custom digital design board for the Client's selected room using a third-party design platform (Spoak). The design board may include furniture, lighting, rugs, decor, textiles, layout recommendation, cohesive color palette with clickable shopping links.
If the Client purchases additional room boards, Designer will provide one (1) custom digital design board for each additional room purchased. Each room board will be developed independently and may include furniture, lighting, rugs, decor, textiles, layout recommendation, cohesive color palette with clickable shopping links.
Each room board is intended for a single room only and is based on the information, measurements, photographs, and preferences provided by the Client.
This service is virtual only and does not include in-home services.
2. What Is Not Included
This service does not include:
• Floor plans or measurements
• Construction or architectural drawings
• Contractor coordination or project management
• Custom furniture design
• On-site or in-person services
Client is responsible for verifying all measurements, product fit, and installation requirements prior to purchase.
3. Client Responsibilities
Client agrees to:
• Complete the intake form accurately and thoroughly
• Provide photos, measurements, and inspiration as requested
• Respond to communication in a timely manner
Designer is not responsible for delays caused by incomplete or inaccurate information.
4. Timeline
Design boards will be delivered via email within ten (10) to fourteen (14) days after receipt of the completed intake form and all required information. Please allow additional time for additional room(s) purchased during same transaction.
If Client communication is delayed more than five (5) days, Designer reserves the right to pause the project timeline until communication resumes.
Timelines may adjust if revisions or add-on services are requested.
5. Revisions
One (1) light revision is included, defined as swapping up to 1–2 items.
Additional revisions may be purchased separately. Major changes to the original design direction are not included.
6. Payment & Refund Policy
Full payment is required at the time of booking.
Due to the custom nature of this service:
• All sales are final
• No refunds or chargebacks will be issued once work has begun
7. Product Availability & Purchasing
Designer is not responsible for:
• Product availability, backorders, price changes, or discontinued items
• Shipping delays or manufacturer defects
Client understands product pricing and availability may change after digital board and shopping list delivery.
8. Affiliate Disclosure
Some product links may be affiliate links. Designer may earn a commission at no additional cost to Client. Affiliate partnerships do not influence design integrity or recommendations.
9. Intellectual Property
All design boards, concepts, and materials remain the intellectual property of Philomena & Co. LLC.
Client is granted a non-exclusive license for personal use only. Designs may not be reproduced, resold, or used commercially without written permission.
10. Limitation of Liability
Designer is not responsible for:
• Installation errors
• Contractor workmanship
• Product performance
• Personal injury or property damage related to implementation
Client assumes all responsibility for execution of the design.
11. Marketing & Portfolio Use
Designer may use completed design boards for portfolio, website, and social media purposes unless Client requests otherwise in writing prior to project completion.
12. Governing Law
This Agreement shall be governed by the laws of the state in which Philomena & Co. LLC is registered.
13. Agreement Acknowledgment
By submitting this form, Client confirms that they have read, understood, and agree to the terms of this Agreement.
