Confidentiality Agreement
Certain safeguards are taken to protect the confidentiality of information collected and maintained by this agency regarding persons served and general business practices. All volunteers of the organization must abide by Human Resources Procedure #1.14: Confidentiality and General Program Procedure #5: Confidentiality of Information,
In addition, whereas the Volunteer will receive training from Noble in order to enable Volunteer to support and/or perform the services required by Noble, and will become acquainted with the business and affairs of Noble, its officers and employees, its Services, business practices, the needs and requirements of its clients and potential clients, trade secrets and other confidential information that Noble has or will acquire at its cost and expense, therefore:
On and after the date of this agreement, Volunteer shall not use or disclose to any person, firm, corporation, association, or any other entity for any reason or purpose whatsoever any Confidential Information (as outlined below) relating to Noble or its affiliates which Volunteer acquired at any time before or after the date of this Agreement. As used herein, “Confidential Information” means any confidential or proprietary information including without limitation marketing techniques, accounting or financial data or methods, techniques or strategies, trade information, trade secrets, client lists, potential client lists, information relating to clients or potential clients, research, client services, software design and documentation, marketing information, projections, business plans and other materials or records of a proprietary nature which are not generally known to the public.
All Noble records and copies thereof are and shall remain the property of Noble, and Volunteer agrees to keep such documents subject to Noble’s custody and control, and to return promptly to Noble all records, copies of records and all other property of Noble that are in the Volunteer’s possession or under the Volunteer’s control or custody at the point of separation from the Agency.
