HOLIDAY POP-UP SHOP VENDOR AGREEMENT
Event Date: Saturday, December 5, 2026
Event Hours: 11:00 AM–3:00 PM
Location: Jacksonville, Florida
Vendor Fee: $55.00
By registering for the Duval Sistas 360 Holiday Pop-Up Shop, the Vendor agrees to the following terms and conditions.
1. Registration and Payment
The $55 vendor fee must be paid in full before vending space is reserved. Registration fees are non-refundable and non-transferable, except as expressly stated in this agreement or required by law.
2. No Guaranteed Sales or Profits
Duval Sistas 360, LLC does not guarantee sales, profits, customer traffic, attendance, or any specific financial return. The vendor fee covers participation and the assigned vending space, not a guarantee of business success. Vendors are responsible for their own business expenses, inventory, pricing, and sales.
Low sales, no sales, or dissatisfaction with attendance are not grounds for a refund, reimbursement, or compensation. Vendors participate voluntarily and at their own business risk.
3. Tables, Displays, and Space
One table, one tablecloth, and two chairs will be provided. Vendors may bring displays and stands but must notify the event team during registration if an additional table or larger space is needed. Displays should remain within an 8’ x 8’ area unless otherwise approved. Electricity is limited and must be requested in advance; availability is not guaranteed.
Booth assignments are determined by event management. Location requests are welcome but not guaranteed.
4. Setup and Breakdown
Vendor access begins at 10:00 AM. All vendors must be ready before the event opens at 11:00 AM. The event ends at 3:00 PM, and breakdown must be completed by 4:00 PM. Vendors are responsible for their own setup, merchandise, equipment, and cleanup.
5. Vendor Responsibilities and Liability
Vendors are solely responsible for their products, services, sales, permits, licenses, taxes, and compliance with applicable laws. Vendors must maintain safe displays and professional conduct. Loud music, disruptive behavior, and prohibited or unsafe products are not allowed.
Vendors are responsible for their own merchandise, equipment, and belongings. To the extent permitted by law, Duval Sistas 360, LLC is not responsible for vendor property loss, theft, damage, lost sales, or claims arising from vendor products, services, or conduct. Nothing in this agreement waives liability that cannot legally be waived.
6. Cancellations and Refunds
Vendor cancellations, no-shows, late arrivals, early departures, and low or no sales do not qualify for refunds.
If the event is rescheduled due to severe weather, an emergency, an act of God, or circumstances beyond the Organizer’s reasonable control, registration fees will be applied to the rescheduled event, subject to applicable law and the Organizer’s written policy.
If Duval Sistas 360, LLC cancels the event entirely without rescheduling, vendors will receive a full refund of the registration fee paid. Additional expenses or lost profits will not be reimbursed, except as required by law.
7. Promotion
Vendors may use approved event promotional materials to promote their participation. Vendors may submit business cards, coupons, or flyers for possible inclusion in attendee bags, subject to approval and availability. Promotional placement or individual advertising is not guaranteed.
8. Agreement and Acceptance
By submitting registration and payment, the Vendor confirms they have read, understood, and agreed to these terms, including the non-refundable fee policy and the acknowledgment that sales and profits are not guaranteed.
Electronic Acceptance: By signing below and submitting registration, I acknowledge and agree to the terms above.
