WAIVER, RELEASE, AND INDEMINITY AGREEMENT
In consideration of the opportunity for the undersigned participant, and any business, person, or other entity for whom I am authorized to act, to participate in the Holidays in the Vue Parade on December 5, 2026 (the “Event”), I represent to Holidays in the Vue (a Tennessee non-profit organization, “HITV”) and the Holidays in the Vue Parade that I am fully authorized to bind the participant, its entry, and all persons associated with the entry, including adults and minors.
The participant, on behalf of itself and its heirs, executors, administrators, successors, and assigns, jointly, severally, and unconditionally releases and waives any claims, rights, damages, injuries, or causes of action of any kind, INCLUDING THOSE ARISING OR ALLEGED TO ARISE FROM THE NEGLIGENCE OF THE SPONSORS, that the participant, its agents, employees, or officers may have against HITV, the Holidays in the Vue Parade, the Metropolitan Government of Nashville and Davidson County, Tennessee, PR Georgetown Bellevue, LLC (One Bellevue Place), and their agents, officers, employees, committees, contractors, volunteers, and associated Parade sponsors (collectively, the “Sponsors”) arising from the participant’s activities connected with the Event. This release and waiver shall be binding upon, and shall inure to the benefit of, the participant’s and the Sponsors’ respective heirs, executors, administrators, successors, and assigns.
On behalf of the participant, I agree that our entry will comply with all rules required by the Holidays in the Vue Parade for the safe and efficient conduct of the Event and related activities. I will ensure that I and our entry act appropriately and do not engage in any activity that is dangerous or likely to cause harm, injury, or property damage. The participant agrees that the entry and all associated persons, including adults and minors, participate voluntarily and acknowledge that participation in the Event may involve a risk of accident or injury. The participant authorizes HITV, the Holidays in the Vue Parade, and their designated Event medical or first-aid personnel to arrange and obtain emergency medical treatment, including transportation to a medical facility, for any participant in the entry, including any minor, who becomes injured or ill during the Event if a parent, guardian, or other authorized representative cannot be reached in time to give consent. The participant agrees to be responsible for all costs of such emergency treatment and transportation.
The participant further agrees to indemnify and hold harmless the Sponsors from any damages, injuries, claims, or causes of action of any kind arising from the acts or omissions of the participant or the participant’s agents, officers, or employees. The participant also agrees to assume, on behalf of the Sponsors, all costs and responsibility for any suit, action, or proceeding arising from those acts or omissions.
The participant affirms that all vehicles in the entry have current automobile liability
insurance and that all drivers hold valid driver’s licenses. The entry may not participate without current vehicle insurance. All entry vehicles must be operated safely and in compliance with Tennessee law. The participant acknowledges that any photographs, videos, or recordings of entry participants or their family members taken during the Event may be used for parade purposes, including websites, printed brochures, newspaper advertising, and similar promotional materials.
The participant represents, covenants, and acknowledges that the Sponsors are relying on these statements and that the participant is bound by the legal consequences of signing this Agreement. This Agreement is intended to be unconditional and governed by Tennessee law. If any lawsuit or other proceeding arises from the participant’s Event activities, this Agreement may be admitted as evidence in any court or other forum where the claim or cause of action is heard.
If any provision of this Agreement, or any part of a provision, is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision or part shall be enforced to the maximum extent permissible, and the remaining provisions of this Agreement shall continue in full force and effect as if the invalid, illegal, or unenforceable provision or part had never been included.
