VENDOR CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT

As a condition of participating as a vendor, exhibitor, contractor, representative, or invited business at The Symposium, I understand that I may be exposed to confidential, proprietary, creative, business, and/or production-related information belonging to Manifestation Entertainment Incorporated and its affiliated productions, including Lambs 2 Slaughter.
1. Confidential Information
Confidential Information includes, but is not limited to: scripts, scenes, dialogue, storylines, characters, plot developments, table reads, rehearsals, casting information, cast discussions, unreleased talent participation, production plans, creative concepts, music, performances, photographs, video footage, set or costume concepts, budgets, financial information, business strategies, marketing plans, sponsorship information, vendor information, contracts, schedules, future event dates, internal discussions, proprietary processes, intellectual property, and any other non-public information that I may hear, observe, receive, photograph, record, or otherwise become aware of while participating in the event.
2. Non-Disclosure
I agree that I will not disclose, repeat, publish, distribute, reproduce, transmit, post, livestream, discuss, or otherwise communicate Confidential Information to any person or entity without prior written authorization from Manifestation Entertainment Incorporated.
This includes disclosure through social media, podcasts, interviews, text messages, email, websites, blogs, group chats, livestreams, video platforms, or other public or private communications.
3. Photography, Audio & Video Recording
I understand that my participation as a vendor does not automatically authorize me to photograph, film, livestream, or audio-record confidential production activities, table reads, rehearsals, scripts, production materials, private conversations, or restricted areas.
Any photography or recording specifically authorized by Manifestation Entertainment Incorporated must remain within the scope of that authorization.
4. Intellectual Property
I acknowledge that participation in The Symposium does not provide me with any ownership, license, copyright, trademark, production, distribution, or other intellectual-property rights in Lambs 2 Slaughter, The Symposium, or any materials, concepts, characters, scripts, performances, branding, or other property belonging to Manifestation Entertainment Incorporated or third parties.
5. Vendor Personnel
If I bring employees, assistants, contractors, representatives, or other individuals to assist with my vendor space, I understand that they must also comply with the confidentiality requirements established by Manifestation Entertainment Incorporated. I am responsible for ensuring that individuals working under my vendor registration understand these restrictions.
6. Publicly Available Information
This Agreement does not prohibit disclosure of information that has been officially released to the public by Manifestation Entertainment Incorporated or information that the Company expressly authorizes me in writing to share.
7. Required Legal Disclosure
Nothing in this Agreement prohibits a disclosure that is required by applicable law, regulation, subpoena, or court order. Where legally permitted, I agree to provide Manifestation Entertainment Incorporated reasonable notice before making such a disclosure.
8. Breach of Agreement
I understand that unauthorized disclosure of confidential information may cause substantial harm to Manifestation Entertainment Incorporated and/or its productions. A violation may result in removal from the event, termination of vendor privileges, exclusion from future Manifestation Entertainment events, and pursuit of remedies available under applicable law.
9. Continuing Obligation
My confidentiality obligations continue after The Symposium has concluded and remain applicable to Confidential Information until that information is officially made public by Manifestation Entertainment Incorporated or is otherwise no longer confidential through no violation of this Agreement.
10. Acknowledgment and Electronic Signature
By checking the acknowledgment box and electronically signing below, I confirm that I have read, understand, and voluntarily agree to this Vendor Confidentiality & Non-Disclosure Agreement. I understand that my electronic signature is intended to serve as my signature on this Agreement.
