  • Student Contract

    This Advising Agreement (the “Agreement”) is made effective as of “Today’s Date” listed below by and between:

  • Whereas:

    • STUDENT is applying to college, graduate school or residency to enroll for the “Enrollment Term” listed above and wishes to engage the services of PASSPORT for ongoing advising services from the effective date above until STUDENT is accepted;
    • STUDENT recognizes that any admissions advising requires considerable effort and cooperation to achieve satisfactory results;
    • STUDENT recognizes that admissions decisions are controlled by admission offices that have differing criteria and policies for admission;
    • STUDENT understands that admission to a specific school or program is dependent in large part on grades, test scores and other criteria that are outside the control of PASSPORT;
    • STUDENT and PASSPORT desire to work together to obtain favorable results in the admissions process; and
    • STUDENT recognizes and understands the importance of adhering to PASSPORT’s recommendations and advice;

    Now, therefore, the parties agree as follows:

  • 1) DESCRIPTION OF SERVICES

    a) PASSPORT agrees to provide the services outlined in the email “Welcome to Passport Admissions” sent on the date you enrolled "Enrollment" in our program (PASSPORT keeps a copy of this email on record and would be happy to re-send at any time).

    b) PASSPORT agrees to give its best efforts to be available for consultation on a weekly basis by phone, email, or video conference. PASSPORT will try to return all communication within 2 business days, excluding essay revisions. Unless PASSPORT specifically advises otherwise, PASSPORT agrees to return essay revisions within 5 business days.

    c) STUDENT agrees to utilize PASSPORT exclusively for all of the above services and to provide timely responses to PASSPORT inquiries concerning these services.

  • 2) COMPENSATION FOR SERVICES

    As compensation for the services provided by PASSPORT, STUDENT agrees to pay PASSPORT the price previously agreed upon during Enrollment and sent to STUDENT in the email "Your Passport Admissions Payment Schedule” on the date that you filled out our enrollment form (PASSPORT keeps a copy of this email on record and would be happy to re-send at any time).

    Payment plans will be automatically deducted from the credit card used by the STUDENT on their inital payment after enrolling. Enrollments made within two weeks of the STUDENT's initial Intro Meeting will have the interest on their payment plan waived. Enrollments made after two weeks of the STUDENT's initial Intro Meeting will have an interest of 10% added to their payment plan applied to the total amount for the services and divided across the number of months of the plan as selected by the STUDENT upon enrollment.

  • 3) CODE OF STUDENT CONDUCT

    PASSPORT pledges to conduct its services ethically throughout the application process, including:

    a) maintaining the confidentiality and security of STUDENT’s records and communications with STUDENT. PASSPORT will secure permission of STUDENT before sharing information outside of the organization, unless disclosure is required by law; and

    b) refusing to accept or participate in dishonest solicitations on behalf of STUDENT, including, but not limited to, plagiarism.

    STUDENT shall abide by the student code of conduct below.

  • 4) LIMITATION OF LIABILITY

    a) STUDENT acknowledges that despite PASSPORT’s best efforts on STUDENT’s behalf, PASSPORT cannot guarantee admission to any particular school or program. In no event shall PASSPORT have any liability, whether based on contract, tort (including, without limitation, negligence), statute or common law, or any other legal or equitable grounds, for any punitive, consequential, special, indirect or incidental loss or damage as a result of PASSPORT’s actions in the admission process.

    b) The limitations set forth in Section 4(a) above shall not apply to liabilities which may arise as the result of willful misconduct or gross negligence of PASSPORT providing its services hereunder. However, STUDENT’s only claim for damages shall not exceed the total amount paid to PASSPORT by STUDENT, as detailed in this Agreement.

  • 5) PASSPORT TEAM ASSIGNMENTS

    PASSPORT Admissions will assign STUDENT to an advisor, editor, and/or interview coach after enrollment based on the general availability provided by the STUDENT and based on prior conversations with STUDENT that may include preferences for particular PASSPORT staff.

    STUDENT will stay with their assigned team for all enrolled services and will not attempt to meet with other team members without permission from PASSPORT. STUDENT may request changing team members, but the change will be solely at PASSPORT’s discretion. If a team member resigns from PASSPORT, PASSPORT will replace the team member with an equivalently qualified advisor, editor, or interview coach. If a team member cannot be replaced in a timely manner - determined at PASSPORT’s sole discretion - PASSPORT will offer a refund to the student based on clause 7 below - REFUNDS and CONVERSIONS.

  • 6) CANCELLATIONS AND CHANGE OF ENROLLMENT TERM

    Either STUDENT or PASSPORT may terminate this agreement at any time by providing written notice to the other party. In the event of a termination, STUDENT will have no further obligations to PASSPORT, and PASSPORT will have no further obligations to STUDENT. Any outstanding payments will be due immediately. STUDENT will owe PASSPORT the full hourly rate for all time spent on behalf of STUDENT, as determined by PASSPORT. If after accounting for the total owed PASSPORT, any remaining money STUDENT has paid to PASSPORT in excess of the hourly total will be refunded to STUDENT.

    PASSPORT may honor STUDENT’s desire to extend the Enrollment Term for up to one year from the original date. If STUDENT wants to extend the Enrollment Term beyond one year from the original date, it will be at PASSPORT’s sole discretion whether to continue this agreement for the new Enrollment Term. All payments made prior to the change shall be non-refundable, and any outstanding payments will be due immediately.

  • 7) REFUNDS and CONVERSIONS

    STUDENT may request a refund from PASSPORT at any time up to three months before their Enrollment Term. Before issuing a refund, PASSPORT shall calculate the total value of the work performed, based on PASSPORT'S current hourly rates. Current hourly rates often exceed hourly rates included in PASSPORT's packages, since students buy those hours in bulk packages. After accounting for the total owed to PASSPORT, any remaining money STUDENT has paid to PASSPORT in excess of the current hourly total will be refunded to STUDENT. All refund calculations and determinations will be made exclusively by PASSPORT.

    Alternatively, the STUDENT may convert unused hours to other types of services that PASSPORT offers. Conversion rates are based on PASSPORT’s current hourly rates. 

    Unused hours cannot be transferred or converted between different STUDENTS regardless of type of service or relation between said STUDENTS.

    Any interest paid on payment plans is non-refundable and calculated interest will not be left out of any potential refunds or conversions.

  • 8) REMEDIES

    In the event STUDENT defaults in his/her payment obligations, for any reason, all consultation and coordination efforts will cease until the required payments are made.

  • 9) ENTIRE AGREEMENT

    This Agreement contains the entire agreement of the parties. There are no other promises or conditions, whether oral or written, express or implied, that are not incorporated into this Agreement. This Agreement supersedes any prior written or oral agreements between the parties.

  • 10) AMENDMENT

    This Agreement may be modified or amended but only if the modification or amendment is made in writing and signed by both parties.

  • 11) SEVERABILITY

    If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

  • 12) NO WAIVER OF CONTRACTUAL RIGHT

    The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

  • 13) APPLICABLE LAW

    This Agreement shall be governed by the laws of the State of California.

    This addendum outlines the typical services provided by Passport.  Those services will be laid out specifically in the “Welcome to Passport Admissions” email sent to STUDENT right after STUDENT enrolls.
  • Premier Package:

    • Our largest (sometimes unlimited) set of hours with your team of advising and editing experts (total amount of meetings agreed upon during Enrollment)
    • Topics to be discussed may include any/all of the following: application essay editing, school selection, letter of recommendation assistance, interview preparation, resume editing, timeline and general organization, and other admissions-related questions
    • Phone/email/text communication between meetings
    • Satisfaction Guarantee: If you do not get an acceptance or are not satisfied with your acceptances, we will work with you again the following cycle free of charge through our *Repeat Package (see below)
  • Intensive Package:

    • Our larger set of hours with your advising expert (total meetings agreed upon during Enrollment)
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: career guidance, course selection, extra-curricular activities, summer programming, volunteering, SAT/ACT prep plan, resume editing, timeline and general organization, and other admissions-related questions
  • Ultimate Package:

    • Our standard set of hours with your team of advising and editing experts (total meetings agreed upon during Enrollment)
    • Topics to be discussed may include any/all of the following: application essay editing, school selection, letter of recommendation assistance, interview preparation, resume editing, timeline and general organization, and other admissions-related questions
    • Phone/email/text communication between meetings
    • Satisfaction Guarantee: If you do not get an acceptance or are not satisfied with your acceptances, we will work with you again the following cycle free of charge through our *Repeat Package (see below)
  • Custom Package:

    • Our custom set of a la carte services with your team of advising and/or editing experts (total meetings agreed upon during Enrollment)
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: application essay editing, school selection, letter of recommendation assistance, interview preparation, resume editing, timeline and general organization, and other admissions-related questions
  • Hourly Package:

    • Our set of purchased hours with your team of advising and/or editing experts (total meetings agreed upon during Enrollment)
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: application essay editing, school selection, letter of recommendation assistance, interview preparation, resume editing, timeline and general organization, and other admissions-related questions
  • Plus Package:

    • Our set of hours with your team of advising and editing experts (total meetings agreed upon during Enrollment)
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: application essay editing, application review, resume editing, timeline and general organization, and other admissions-related questions
  •  Essay Only Package:

    • Our set of hours with your editing expert (total meetings agreed upon during Enrollment)
    • Essays to be covered will be determined during Enrollment and may include essays for any/all of the following: University of California Application, Common Application, Coalition Application, Universal Application, Individual School Application, and Supplemental Essays
  •  Pre-Med Planning:

    • Our monthly subscription with your advising expert (total meetings agreed upon during Enrollment)
    • Monthly meetings continue until canceled or it is time to apply to medical school
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: course selection, clinical exposure and volunteering, research opportunities, MCAT prep plan, resume editing, letters of recommendation, timeline and general organization, and other admissions-related questions
  • 9th, 10th, and 11th Grade Add-on Package:

    • Our set of hours with your advising expert (total meetings agreed upon during Enrollment)
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: course selection, extra-curricular activities, volunteering, SAT/ACT prep plan, resume editing, timeline and general organization, and other admissions-related questions
  • *Repeat Package:

    • Our exclusive set of hours with your advising and editing experts when redeeming our Satisfaction Guarantee after already being enrolled in a Premiere or Ultimate package
    • The Satisfaction Guarantee is only redeemable if a student who is already enrolled in a Premiere or Ultimate package did not get accepted or is unhappy with the acceptances they received
    • Any unused hours from the student's previous Premiere or Ultimate package will roll over into the Repeat package upon redemption of the Satisfaction Guarantee
    • Topics to be discussed will be determined during Enrollment and may include any/all of the following: review of previous application materials, timeline and planning for reapplication, editing of written materials, and other admissions-related and reapplication-related questions
  • Should be Empty:
