Plaza Executive Suites welcomes tax preparation professionals, however due to to the popularity of our short term office space for tax preparation professionals, we have placed limits on the termination date of these leases. During the Income Tax season, lease end dates for tax preparation professionals must be prior to April 1 or after May 31 with the appropriate termination notice (minimum 30 days) provided per the lease terms.

Lease Agreement*
By signing below client agrees to the following: For and in consideration of the payment of rental for the Executive Suite listed herein and the performance of the terms contained herein on the part of tenant, PLAZA EXECUTIVE SUITES LLC does hereby agree to provide an all inclusive Executive Suite as selected by Tenant and noted above. Tenant understands that the amounts and terms noted above are incorporated into this agreement. Initial Term: Except as otherwise specifically provided herein, the term of this Lease shall include full calendar months and any pro-rated initial period will be added to the term. Tenant hereby acknowledges that the Rules and Regulations provided in the Welcome Packet and located at https://www.plazaexecutive.com/rules-and-regulations.cfm/ are incorporated into this lease. Tenant agrees to notify Plaza Executive Suites in writing at operations@plazaexecutive.com if a copy of the Rules and Regulations is not received by the Tenant and an electronic copy will be provided in 48 business hours or less. Payments are due on the 1st of the month unless otherwise indicated. Payments received after the 5th of each month are subject to a 5% late fee. At the end of the desired lease term, Tenant must provide PLAZA EXECUTIVE SUITES LLC with written notice -- at least 30 days before the next payment would be due --that you will be terminating the rental agreement. The notice period begins on the 1st day of the month following receipt of notice regardless of the commencement date. Tenant further understands that any security deposits noted above once collected, will be held on account until the Client vacates noted office space, paid any monies due and returns all keys to management office. All 30 day notices to vacate must be made in writing via fax (602-424-5757) or e-mail (operations@plazaexecutive.com) to Plaza Executive Suites. Furthermore, the individual named in this lease along with the company, agree to jointly and severally guaranty the performance of the terms of this lease.

Early Termination Acknowledgement*

Tenant acknowledges an Early Termination of this Lease Agreement may be requested at operations@plazaexecutive.com. The Penalty for an Early Termination of this Lease Agreement will be equal to any discounted amounts granted throughout the Lease Term in the Special Lease Provisions section of this Lease and a forfeiture of the Security Deposit held for this Lease. An Early Termination of Lease must be requested no less than 30 days prior to the 1st of the Month effective date of cancellation.
Lease Addendum-Kierland
Plaza Executive Suites at Kierland limits occupancy to one permanent person which is defined as an individual working a minimum of 5 hours per day in the office, regardless of office size. Due to facility restrictions, this policy is strictly enforced and violations are subject to significant penalty of $250 per occurrence and up to lease termination.

More than just Mail Service
Service Agreement*
This Business Address Service Agreement is to provide monthly business address services to the customer of Plaza Executive Suites, which shall hereinafter be referred to as "CENTER". Customer understands that CENTER’s facilities and services may not be used for any illegal or illegitimate purpose or for any purposes prohibited by U.S. postal regulations. Customer further agrees to use the Business Address service or any other of CENTER’s facilities in conformity with all applicable federal, state, and local laws and regulations. Customer is permitted to add one listing to each form of social media. Multiple listings within a single media website will be challenged by CENTER. As a courtesy to the Customer, CENTER will accept packages and items from shippers, couriers and its clients subject to the package limits as identified in this document. Distribution of US Mail to Customer may not begin until Customer submits a properly completed and executed USPS Form 1583 to CENTER. A link to complete this form will be emailed to Customer upon completion of this signup form and the USPS 1583 form is available at all times on the CENTER's website. This Agreement and the U.S. Postal Service (USPS) form 1583 executed by customer shall remain confidential except that Customer understands that this agreement and the USPS form 1583 may be disclosed upon request of any law enforcement or governmental agency. Possession of a mailbox key or written authorization from signer below shall be considered valid evidence that the possessor is duly authorized to remove any contents from any mailbox provided under this Agreement. Mail service fees are included in the payments made to CENTER. Accounts are delinquent after the due date and mail will be held pending payment. If the agency relationship has expired, is cancelled, or terminated, the customer’s mail may be returned to sender or destroyed. Package limits are as follows; 30 packages per month, $5 each additional package. Business / personal name limits allow one listing for the legal entity of the company, 1 listing for a DBA (2nd legal entity is not allowed) and up to 4 listed staff members of the company. Additional DBA's & names may be added for $3 each monthly. Any customer requiring more than 8 total names (legal entity, DBA and personal names) would be required to obtain an additional business address. Online listings are limited to one listing per online directory provider. Customer agrees to remove all online listings for the CENTER provided business address when this Business Address Service Agreement terminates or grants CENTER the authority to remove the listing on the customer's behalf. Customers who require more than one directory listing for a single online provider must establish a second business address with CENTER. Customer further agrees that CENTER may terminate or cancel this Agreement for good cause at any time by providing Customer ten (10) days written notice. Good cause shall include, but is not limited to: 1) abandonment; 2) use for criminal, illegal, or illegitimate activity; 3) failure to pay monies owed to CENTER; 4) use of mailbox inconsistent with this Agreement, including receipt of unreasonable volume of mail; and 5) non-performance of the terms of this Agreement. Renewal of this Agreement for additional terms shall be at CENTER’s sole discretion. C.O.D. items will be accepted ONLY if prior arrangements have been made and payment in advance is left with CENTER. As Customer’s authorized agent for receipt of mail, CENTER will accept all mail. Customer further agrees to protect, indemnify and save harmless CENTER from and against any and all claims, demands and causes of action arising out of or in connection with the use or possession of a mailbox, including without limitation, any demands, claims, and causes of action for personal injury or property damage arising from such use or possession; from failure of the U.S. Postal Service to deliver on time or otherwise any items (mail, parcels, etc.); from damage to or loss of mailbox contents by any cause whatsoever and from any violation by customer of applicable federal, state, or local laws. Important: DO NOT USE THE TERM “PO BOX” IN YOUR ADDRESS. This will cause mail to be delayed or returned to the sender. Use only the “#” or “Suite”(whichever has been issued to you) followed by your mailbox number.
Limited Liability
Customer herein agrees that the total liability of CENTER for any and all claims is limited to $50.00 regardless of the nature of the claim.
Termination
Customer agrees to provide CENTER no less than 30 days advance notice prior to the 1st of the effective month of cancellation. All 30 day notices must be made in writing via fax (602-424-5757) or e-mail (operations@plazaexecutive.com) to Plaza Executive Suites. Customer agrees that upon expiration, cancellation, or termination of this Agreement, Customer will not file a change of address order with the post office per the terms of USPS Form 1583. 

Customer and the CENTER further agree that upon expiration, cancellation, or termination of this Agreement, Customer authorizes the CENTER to accept and destroy any “Unsolicited Mail” (e.g., mail addressed to “occupant,” “current resident,” or similar designation; or coupons, advertising, or other promotional material) and any mail addressed to Customer that is delivered to the CENTER by the United States Postal Service; and may refuse any package addressed to Customer delivered by any party commercial carrier service. 

However, at Customer’s election, the CENTER will re-mail (i.e., forward) Customer's mail (except for Unsolicited Mail) for six (6) months upon Customer’s payment in advance for postage, packaging material, and forwarding fees. Customer must pay a monthly forwarding fee of $25 for month 1, and $20 for months 2 through 6 in advance for the time period that mail is to be re-mailed. 

It is Customer's responsibility to make arrangements with the CENTER to identify any mail forwarding needs prior to the expiration, cancellation, or termination of this Agreement; Six (6) months after the expiration, cancellation, or termination of this Agreement, the CENTER may:

a. Refuse any mail or package addressed to Customer and delivered to the CENTER. b. Destroy any of Customer’s mail or packages remaining at the CENTER at such time.

Meeting Scheduling & Cancellation Polcy
Scheduling Meetings
Plaza Executive Suites has partnered with Peerspace.com for meeting room bookings. Please visit https://www.plazaexecutive.com/virtual-office-services-in-phoenix-mesa-scottsdale-az/meeting-room-rental-phoenix-mesa-scottsdale-az.cfm to search available spaces at each of our 5 locations.
Scheduling Policy*
1. Meetings are booked in 60 minute increments; beginning either on the hour or half hour. 2. Client will be charged for each additional 30 minute time block (whether used in its entirety or not) when extending over the scheduled time. 3. Regular meeting scheduling hours are between the hours of 8:30am and 5:00pm, Monday – Friday. Meetings scheduled outside of those hours or on weekends require location manager approval. 4. If Plaza Executive Suites staff turns someone away from an office because of Client’s pre-existing booking, then Client will no longer be able to cancel the pre-existing booking.
Cancellations*
1. All cancellations must be made in writing to Plaza Executive Suites Representative 7 days prior to the event. Cancellations can be sent to operations@plazaexecutive.com. 2. Cancellations received 7 days prior to the scheduled event will not be charged any cancellation fee. 3. Cancellations received after the 7 day time frame up to 24 hours prior will be charged 50% of the room charge. 4. Failure to cancel via fax or email prior to the booking time will be considered a “No Show” and client will be charged the full amount of the booked time for the office/meeting room. 5. All cancellation charges are non-refundable.
After-hours*
1. Meetings conducted during the evening or over the weekends are considered after-hours. Availability varies by location. Please contact location personnel to book. 2. Client understands that Plaza personnel may not be on property during scheduled event. 3. Client agrees to conduct all business activities inside the scheduled meeting rooms. 4. Client understands that meeting room furniture must not be moved to avoid risk of injury to person and/or damage to furniture. 5. Client agrees to confirm after-hour needs for HVAC with Plaza personnel during regular business hours.
Prepaid Meetings (if available)*
1. Prepaid overruns are billed at the pre-determined rate selected on the 1st of the month 2. Prepaid hours must be used in the month purchased 3. Prepaid hours may be used at any Plaza Executive Suites location (length of time may be adjusted to accommodate price differentials) 4. Prepaid hours may only be used during regular hours of operation 5. Opt in/out of the prepaid program must be made prior to the 1st of the month when hours will be used 6. Invoices for monthly prepaid services must be paid by due date to avoid risk of removal from the program and being moved to the higher priced pay-as-you-go program.

AGREEMENT for STATUTORY AGENT SERVICE
1. Statutory Agent Service. From the date Plaza Executive Suites LLC (PES) accepts the Company’s appointment as statutory agent, PES will act as the Arizona statutory agent with the Arizona Corporation Commission (the "ACC"), Arizona Secretary of State and/or an Arizona County Assessor for one year on behalf of the person or entity listed. The statutory agent fee is $49 per year payable in advance (if client maintains monthly business service with Plaza Executive Suites); otherwise the fee is $149 annually and will be prorated for those months where a business address is maintained. 2. Service of Process. If legal papers are served on PES as Your statutory agent, we will send You at Your Mailing Address the originals or copies of the documents we receive. PES will not take any legal action related to any document served on or received by PES as statutory agent. NAME AND ADDRESS OF YOUR STATUTORY AGENT 3. Statutory Agent. 4. How to Change Your Statutory Agent: You may appoint a new statutory agent at ANY TIME by completing the government agency's change of statutory agent form and filing it with the appropriate government agency. To change an existing statutory agent on file with the ACC, You must complete a Change of Statutory Agent form, have it signed by the new statutory agent and file the form with the ACC. DOCUMENTS YOU NEED TO PREPARE & PES NEEDS TO SIGN 5. What PES Must Sign. When You deliver this Agreement to PES, You must also send PES the applicable Arizona government form for PES to sign. To be appointed Arizona statutory agent for a corporation or a limited liability company, PES must sign an ACC (ACC) form in which PES consents to be the statutory agent. You must obtain the appropriate ACC form, complete the form and deliver it to PES when You deliver this Agreement to PES. When we accept the position, we will sign the consent of statutory agent form and return it You for filing. MISCELLANEOUS TERMS & CONDITIONS 6. Delivery of Legal Documents. PES will mail legal Documents served on PES as statutory agent for You to Your Addressee via Certified Mail, Return Receipt Requested at Your Mailing Address. In lieu of mailing legal Documents, PES may email digital copies of legal Documents served on PES to Your Addressee at Your Addressee's Email Address (defined as the email address set forth in item F below or any replacement email address of which You give PES notice). Upon mailing or emailing the Documents to You as provided in this paragraph, PES’s obligations with respect to the Documents and service of process will cease. 7. Importance of Address Changes. You agree to notify PES in writing of all address changes and keep PES informed at all times of Your current mailing address (“Mailing Address”), the name of Your Addressee and Your Addressee's Email Address. If You change Your Mailing Address, Your Addressee and Your Addressee's Email Address and do not notify PES of the change, PES will not be: (i) obligated to send any Documents to You until after You notify PES as provided below of the change and new address, and (ii) responsible for adverse consequences You may suffer arising from PES not mailing to You or notifying You of any Documents PES receives during any period of time that PES does not have Your correct Mailing Address. 8. How to Change Your Address. To change Your Mailing Address, Your Addressee or Your Addressee's Email Address, You must send a written letter to PES notifying PES of the change and the AGREEMENT for STATUTORY AGENT SERVICE effective date of the change. Changes will be effective ten days after PES receives the change of address notice delivered as required in the preceding sentence. If You change Your Mailing Address and do not properly notify PES of the change, PES may resign as Your statutory agent and/or cease being Your known place of business in Arizona at any time without notice to You. 9. Renewal & Termination. This Agreement renews automatically at the end of the initial term and continues on a year to year basis thereafter. Either party may cancel this agreement and terminate the statutory agent service and/or the known place of business service at any time by giving the other party written notice of cancellation at least ten days before the effective date of the cancellation. If You cease using our known place of business service and/or terminate PES as Your statutory agent, You will not be entitled to a refund of any fees. If PES terminates this Agreement without cause, PES will refund to You a prorated amount of any fees paid that are attributable to the remaining term of this Agreement. If PES resigns as Your statutory agent by filing a resignation of statutory agent with the ACC or notifies the ACC that Your known place of business is no longer PES's address, this Agreement will terminate as of the effective date of the filed resignation or notice with the ACC unless it terminated earlier. 10. Release. You release PES from any and all liability it or any of it's owners, officers, managers, employees or agents may have in the future arising from any adverse consequences resulting from You or Your Addressee not receiving Documents served on or received by PES because You fail to notify PES properly or timely of a change of Your Mailing Address, Your Addressee or Your Email. An example of an adverse is a default judgment issued by a court against You for failing to answer a lawsuit summons and complaint served on PES as Your statutory agent. 11. Invoices. You agree to pay within ten days of receiving PES’s invoice for services and expenses. If You do not pay any amount due PES within ten days of billing, PES may terminate this Agreement, charge interest on any unpaid amounts at the rate of one and one half percent per month and/or cease all further services hereunder. The entire amount You pay Plaza Executive Suites LLC, for fees and costs is nonrefundable, but You may nevertheless discharge Plaza Executive Suites LLC, and Robert Alsbury at any time and in that event You may be entitled to a refund of all or part of the fee based upon the value of the representation. If You fail to pay any amount due PES within ten days of the date of an invoice, PES is not obligated to provide any statutory agent services or other services under this Agreement during any period that amounts are owed PES. 12. Future Fees. PES may increase the annual statutory agent and/or the known place of business fee after the expiration of the initial term, but we must give You at least ten days prior written notice of any proposed increase. If You are not willing to pay the new annual fee, You may cancel the service and send us a cancellation notice. If You are an LLC and PES moves to a new address, we may charge You $5 to prepare and file a change of address notice with the ACC. 13. Choice of Law. The sole place of venue for any dispute arising from this Agreement will be a court in Maricopa County, Arizona without regard to conflicts of laws principles. The parties waive their right to object to venue. This Agreement is governed by Arizona law, without regard to conflicts of laws principles. 14. Disclaimer. We are not acting as Your attorney in advising You with respect to this Agreement. If You have questions about this Agreement, we recommend that You consult with legal counsel. PES cannot provide any legal services to You. PES reserves the right to decline to provide requested services listed above, in which case PES will notify you and return any funds paid to PES.

Mail Forwarding Agreement Acknowledgement*

Applicant agrees that execution of this application for mail forwarding acknowledges your agreement to comply with all postal regulations regarding the use of services of delivery of mail through agent. At the termination of service all mail received will be returned to sender. Applicant also authorizes Plaza Executive Suites to collect the greater of: 1) $25 security deposit should applicant elect to make payments from the invoice for USPS Mail, or 2) $25 deposit if USPS stamped mail is selected or 3) $75 if forwarding to an international address is selected. A $10 fee for the 2nd and subsequent mail forwarding address changes will be charged. A subscription for Email Notifications as Mail is Received (if selected) is $15 monthly;
Security Deposit Acknowledgement*

I acknowledge that the security deposit(s) noted, once delivered to Plaza Executive Suites LLC, becomes refundable a) upon vacating a minimum one-month tenancy, and b) occupying space within 14 days of receipt unless: 1. A lease document states otherwise; or 2. Outstanding amounts are due that would offset the deposit held I further acknowledge that upon payment of this security deposit, Plaza Executive Suites, LLC will cease further marketing of the designated suite and hold the suite for the exclusive use of the payer / signer. Within 14 days of completing the move-out walk-through, Plaza Executive Suites will refund any balance remaining on the account;

In person payments may only be made at the main office, 2942 N 24th St, Phoenix, AZ 85016. Payments dropped off locally will be mailed to the main office by Plaza staff at a cost of $5 per mailing. Quarterly Payment Acknowledgement*

I have selected to be billed Quarterly for my Virtual Office Services and acknowledge that in exchange for quarterly billings on January 1, April 1, July 1 and October 1, I will receive a $5 discount off the regular priced Virtual Office Services monthly regular billed amount. I further understand that I may only cancel services 30 days in advance of the next quarter to be billed.
