Annual — $4,500/year (prepaid All Monthly benefits, plus: bonus cigar each month, priority event seating, one complimentary humidor locker, and one complimentary full- day lounge reservation per year (waiving the standard $1,500 buyout Corporate - $6,000/year. 5. Phones on vibrate; no unauthorized media or recordings. 6. Cleanliness and ember safety required. 7. Conduct: no harassment or disruptive behavior. 8. No promotions or sales without prior approval. 9. Compliance with staff instructions and Hawaii law.

6) BYOB Policy & Hours The Royal Leaf does not sell alcohol. BYOB is permitted during posted Lounge hours.

10) Health, Safety & Assumption of Risk Cigar smoking carries health risks, including nicotine exposure and smoke-related illness. By entering the Lounge, Members and guests assume all risks and hold harmless The Royal Leaf, its affiliates, owners, and staff from claims arising out of ordinary negligence.

11) Privacy, Media & Data No photos, video, or recordings without management approval and consent of all present. Official photography is opt-in/out (see Exhibit D Member and guest identities remain confidential.

12) Member Confidentiality & Non-Disclosure Agreement (NDA) Parties: The Royal Leaf LLC ("Royal Leaf") and the undersigned Member. Purpose: To preserve privacy, safety, exclusivity, and protect Royal Leaf's business. Confidential Information: Includes member/guest identities, conversations, strategies, pricing, sourcing, suppliers, event concepts, operations, and media. Non-Disclosure: No sharing, posting, or commercial use of Confidential Information. No recordings without prior written approval. Exceptions: Public info not from breach, prior knowledge, independent development, or lawful requirement (with notice Remedies: Royal Leaf entitled to injunctive relief, damages, and fees. Term: Effective during membership and for 3 years thereafter.

Daily Members: $15 corkage per bottle. Monthly Members: Up to 2 bottles no fee; $15 per additional. Annual Members: Up to 3 bottles no fee; $15 per additional. Corporate Members: Same privileges as Annual. Conditions: Bottles labeled with name/date; members retain possession; staff do not pour; spirits/wine only; no overnight storage unless approved.

7) Guest Policy Daily Members: Guests may attend by paying the Daily Membership rate ($50/day Monthly Members: One (1) complimentary guest included per visit. Additional guests $30 or $20 minimum spend. Annual Members: One (1) complimentary guest included per visit. Additional guests $30 or $20 minimum spend. 8) Humidor Lockers & Storage Included for Annual Members only. One key provided; replacements $20. Cigars only; no alcohol, valuables, or perishables. Club maintains industry-standard humidity; natural variation accepted. Locker contents forfeited if membership lapses (30-day hold, then abandoned

Auto-pay required for Monthly & Corporate Members. 7-day grace for late dues; $25 late fee thereafter.

Non-Solicitation: Members may not solicit Club staff or other Members for competing lounge services in Honolulu for 12 months after departure.

13) Dispute Resolution; Governing Law This Agreement is governed by Hawai'i law. Disputes resolved by good-faith negotiation

14) Entire Agreement; Amendments This Packet and Exhibits constitute the entire agreement. Updates may be issued with 30 days'
