Arbitration clause:
Agreement to Arbitrate: The parties agree to resolve any disputes, claims, or controversies arising out of or relating to this contract, including its formation, interpretation, breach, or termination, through arbitration.
Arbitration Rules: The arbitration shall be conducted in accordance with the rules and procedures of the Texas Arbitration Act.
Arbitrator Selection: The parties shall mutually agree upon a single arbitrator within 30 days after a dispute arises. If the parties fail to agree on an arbitrator within this timeframe, either party may request the appointment of an arbitrator by the arbitration institution.
Arbitration Venue: The arbitration shall take place in Travis County, Texas, unless otherwise agreed upon by the parties.
Governing Law: The arbitration proceedings and any award shall be governed by the laws of the State of Texas, without regard to its conflict of laws principles.
Confidentiality: All arbitration proceedings, including any hearings, submissions, and awards, shall be kept confidential by the parties and their representatives, except to the extent necessary to enforce a judgment on the award or as otherwise required by law.
Arbitration Award: The arbitrator's decision shall be final and binding upon the parties and may be entered as a judgment in any court of competent jurisdiction.
Costs and Fees: Each party shall bear their own costs and expenses of arbitration, including attorney's fees, unless the arbitrator determines otherwise in the award.
Waiver of Jury Trial: The parties hereby waive any right to a trial by jury in any action or proceeding arising out of or related to this contract.
Severability: If any provision of this arbitration clause is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Amendment: This arbitration clause may only be amended in writing and signed by both parties.
Execution: This agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
