Hustlers Council Membership Agreement
Side Hustle Honors, LLC
Term: 2025-2026
This Hustlers Council Membership Agreement ("Agreement") is entered into on this date {date} , by and between Side Hustle Honors, LLC ("SHH") and{name} ("Member"), collectively referred to as "Parties."
1. Purpose
The Hustlers Council serves as an advisory board for Side Hustle Honors, LLC. Members play a vital role in identifying entrepreneurial talent, expanding SHH’s reach, contributing to the selection process, and providing strategic advisory support to elevate and celebrate side hustlers.
2. Term of Membership
The Member’s term begins on {date} and continues through December 31, 2026, unless renewed, extended, or terminated as per this Agreement.
3. Responsibilities of the Member
By joining the Hustlers Council, the Member agrees to actively contribute in the following ways:
3.1. Talent Identification
- Recommend and identify credible nominees for Side Hustle Honors awards.
- Represent a specific industry and ensure fair and diverse nominations.
3.2. Expanding Reach & Community Engagement
- Utilize professional networks to introduce SHH to potential donors, sponsors, and collaborators.
- Promote Side Hustle Honors events, initiatives, and award programs to amplify impact.
3.3. Awards Selection Process
- Participate in the nomination review and winner selection process to ensure fair evaluation.
- Maintain integrity and confidentiality throughout the selection process.
3.4. Advisory & Strategic Support
- Provide insights on industry trends, business strategy, and community impact.
- Support SHH in its growth, development, and mission execution.
3.5. Financial Commitment
- Each Member commits to raising or contributing $2,500 to support SHH initiatives.
- This contribution can be fulfilled in one of the following ways:
- Upfront payment of $2,500
- Installment plan with agreed-upon payment schedule
- Selling a dedicated number of event tables/sponsorships to meet the $2,500 goal
4. Benefits of Membership
Hustlers Council Members will receive:
- Exclusive recognition as a Council Member on SHH platforms.
- VIP Access to Side Hustle Honors events.
- Networking opportunities with top entrepreneurs, industry leaders, and investors.
- Opportunities to mentor and influence the next generation of side hustlers.
- Special invitations to advisory meetings and strategy sessions.
- End of Year gratitude gifts
5.Confidentiality, Ethics, and Non-Compete
5.1. Confidentiality & Non-Disclosure Agreement (NDA)
To protect the integrity and proprietary information of Side Hustle Honors, the Member agrees to the following:
- Confidentiality Obligation: The Member shall not disclose, share, or use any confidential or proprietary information related to Side Hustle Honors, LLC, including but not limited to:
- Internal business strategies, financials, and operational plans.
- Award selection criteria, nominee lists, or deliberation details.
- Marketing strategies, sponsorship relationships, and donor lists.
- Any discussions, meeting notes, or documents provided to the Hustlers Council.
- Survival of Confidentiality: This non-disclosure obligation remains in effect during and for 24 months after the Member’s tenure on the Hustlers Council.
- Legal Enforcement: Any breach of this clause may result in legal action, financial penalties, or removal from the Council.
5.2. Non-Compete Agreement
To protect the brand integrity and proprietary methods of Side Hustle Honors, LLC, the Member agrees to the following restrictions after leaving the Hustlers Council:
- Three-Year Competition Ban (36 months post-membership)
- The Member shall not create, operate, or advise a competing side hustle-focused awards show anywhere in the U.S.
- The restriction does not apply to hosting general business networking events, workshops, or educational programs, provided they do not mimic the format, branding, or mission of SHH.
- Eighteen-Month Solicitation Ban (18 months post-membership)
- The Member shall not solicit or recruit SHH sponsors, donors, partners, vendors, or nominees for a competing organization.
- This applies nationally due to SHH’s multi-state operations.
- Limited Industry Freedom
- The Member is free to engage in other entrepreneurship-related ventures, including business coaching, startup consulting, and general entrepreneurial education, as long as they do not directly compete with SHH’s awards-based model.
- Legal Consequences for Violations
- SHH reserves the right to seek damages or an injunction if a Member violates these restrictions.
- The Member acknowledges that SHH operates nationally and agrees that a multi-state non-compete is necessary to protect its business model.
6.Termination of Membership & Early Withdrawal Deterrents
6.1. Grounds for Termination
A Member’s term may be terminated under the following conditions:
- Voluntary Resignation: The Member may resign by providing written notice at least 60 days in advance, allowing for a transition period to minimize disruption.
- Failure to Fulfill Responsibilities: If the Member fails to participate in Hustlers Council activities, contribute to the selection process, or meet their financial commitment, SHH may terminate membership with a 30-day written warning.
- Breach of Confidentiality or Non-Compete: Any violation of the Non-Disclosure or Non-Compete agreements will result in immediate removal and potential legal action.
- Ethical Misconduct or Damage to Reputation: If a Member engages in behavior that damages SHH’s brand, credibility, or mission, their membership may be revoked.
6.2. Commitment & Continuity Assurance
To encourage commitment and continuity, the following conditions apply to Members who choose to resign early:
- Financial Obligation: Members who resign before completing their term agree to fulfill any outstanding financial commitment toward the $2,500 fundraising requirement. If the full amount is unpaid at the time of resignation, the Member must settle the balance within 30 days of departure.
- Transition Requirement: Members who resign early must assist in identifying a replacement nominee to ensure the Council maintains its full structure and industry representation.
- Post-Membership Restriction: Any Member who resigns early without valid cause (e.g., personal emergencies, relocation) will not be eligible for re-application for a period of 3 years.
- Public Accountability: While SHH will not publicly disclose resignations, a withdrawal notice will be sent internally to current Council Members, acknowledging the transition and the reason for departure.
6.3. Exceptional Circumstances
SHH understands that unforeseen personal or professional emergencies may arise. Members who experience significant hardship (e.g., medical emergencies, financial crises) may request a review and waiver of their obligations. These will be reviewed on a case-by-case basis by SHH leadership.
7. Agreement Acceptance
By submitting this application, the Member acknowledges and agrees to fulfill the responsibilities, uphold the values, and actively participate in the Hustlers Council, while adhering to the confidentiality, non-compete, and ethical standards outlined above.
