  • 1. Purpose & Working Relationship

  • This agreement establishes the general working relationship between the Client/Subject and studioROSE11 LLC ("Photographer"). 

    It applies to photographs, video, and related visual work created between the Client/Subject and studioROSE11 throughout their creative relationship and is intended to serve as a standing photography and image-use agreement between the same parties, unless otherwise agreed in writing or replaced by a newer agreement.

    This allows the parties to continue creating together without requiring a new image release each time. Specific session details, pricing, deliverables, locations, or other arrangements may still be agreed upon separately as needed.

  • 2. Creative Collaboration

  • Photography with studioROSE11 is approached as a collaborative process. Clients and subjects are encouraged to contribute references, concepts, styling ideas, poses, locations, and other creative input.

    The Photographer is responsible for the technical execution and final professional presentation of the work. This includes photography, image selection, editing, color grading, retouching, cropping, and other decisions necessary to create a consistent finished body of work.

    The goal is to honor the creative direction established between both parties while allowing the Photographer to maintain the visual and technical standards of studioROSE11.
  • 3. Copyright & Ownership

  • Unless otherwise agreed to in writing, studioROSE11 LLC retains the copyright to photographs created by the Photographer, including photographs created as part of a paid session, creative collaboration, editorial project, or TFP session.

    Delivery of photographs to the Client does not transfer copyright ownership.

    The Client receives the usage rights described in this agreement. Copyright may only be transferred through a separate written agreement specifically stating that copyright is being transferred.
  • 4. Photographer Image Usage & Release

  • The Client/Subject grants studioROSE11 LLC permission to photograph and/or record them and to use photographs and video created during covered sessions for the Photographer's:
    • Portfolio and professional archive
    • Website and social media
    • Self-promotion and marketing
    • Printed promotional materials
    • Exhibitions and gallery displays
    • Editorial projects
    • Photography books, zines, and other artistic publications
    • Magazine, editorial, gallery, competition, or publication submissions
    • Displays or presentations of the Photographer's work
    This permission is perpetual and does not expire, unless the Photographer agrees otherwise in writing.

    The purpose of this continuing permission is to allow photographs to remain part of the Photographer's body of work and professional history even as time passes.

    The Photographer will not sell or license a Client's likeness for unrelated third-party commercial advertising or product endorsement without separate permission where such permission is legally required.
  • 5. Requests Regarding Future Use

  • studioROSE11 recognizes that a person's circumstances or comfort with a particular image may change over time.

    A Client/Subject may contact the Photographer to discuss concerns about a particular future use of an image. The Photographer agrees to consider reasonable requests in good faith.

    However, such a request does not automatically revoke the permissions granted by this agreement, and the Photographer cannot guarantee removal of material that has already been printed, published, distributed, submitted, exhibited, archived, or shared by third parties.
  • Any agreed change to the continuing use of particular images should be confirmed in writing by both parties.
  • 6. Client Personal & Self-Promotional Usage

  • The Client may use delivered photographs for personal and self-promotional purposes, including:
    • Personal social media
    • Personal or professional portfolios
    • Personal websites
    • Casting or modeling materials
    • Artist or professional profiles
    • Flyers and event announcements
    • Other non-commercial self-promotion

    Credit to studioROSE11 is requested wherever reasonably practical, particularly when photographs are used online or in printed promotional materials.

    The Client may crop or resize photographs as reasonably necessary for different platforms. Significant alterations, filters, AI modifications, or edits that materially change the appearance of the Photographer's finished work should be discussed with the Photographer before publication.
  • 7. Commercial Usage & Licensing

  • The Client's personal usage rights do not automatically include commercial licensing.

    Use of photographs for paid advertising, commercial campaigns, merchandise, product packaging, album or book covers intended for commercial distribution, brand advertising, paid endorsements, resale, or other revenue-generating commercial uses requires a separate written license or agreement with studioROSE11 LLC.

    Commercial licensing is different from ordinary personal or self-promotional use.

    A separate license may specify the photographs being licensed, permitted uses, duration, territory, exclusivity, compensation, and any other applicable terms.
  • 8. Third-Party Use

  • The Client may share photographs as part of the personal and promotional uses allowed above.

    However, the Client may not sell, transfer, sublicense, or grant commercial usage rights in the photographs to another person, company, publication, brand, or organization when that use would otherwise require a commercial license from studioROSE11.
  • If a third party wants to commercially use an image, the Client may refer that party directly to studioROSE11 to arrange appropriate licensing.
  • 9. Payment, Deposits & Third-Party Costs

  • Any session deposit required by studioROSE11 is non-refundable once the session has been confirmed, except where otherwise agreed in writing.

    Fees already paid toward studios, permits, equipment rentals, locations, travel arrangements, or other third-party expenses are non-refundable once those costs have been incurred.

    Unless otherwise agreed, any remaining session balance is due by the date stated in the Session Details.

  • 10. Cancellations, Rescheduling & Unexpected Circumstances

  • If a session must be postponed or canceled because of severe weather, illness, emergency, venue closure, or another circumstance reasonably outside either party's control, payments already made to studioROSE11 may be applied toward a future session when reasonably possible.

    The Photographer is not responsible for reimbursing non-refundable expenses charged by third parties, including studios, venues, permits, rentals, transportation providers, or other vendors.

    Both parties agree to communicate as soon as reasonably possible when an unexpected circumstance affects a scheduled session.

  • 11. Image Selection, Retouching & Delivery

  • Unless otherwise agreed, the Photographer determines which photographs are included in the final delivered gallery.

    Final photographs may receive color correction, retouching, cropping, and other adjustments consistent with studioROSE11's work and the creative direction of the session.

  • Unedited photographs, RAW files, rejected photographs, duplicates, test photographs, and other working files are not included in the final delivery unless specifically agreed upon.

    Final edited photographs are typically delivered through an online gallery within 7–10 business days, unless another timeline has been communicated or agreed upon.
  • 12. Publication & Credits

  • The Photographer may submit photographs covered by this agreement to magazines, galleries, exhibitions, competitions, editorial outlets, publications, and similar creative platforms.

    When the Client independently submits or provides photographs to a publication or other platform, the Client should identify studioROSE11 as the Photographer so appropriate photography credit can be provided where practical.

    Neither party can guarantee how an independent publisher, platform, gallery, or other third party ultimately displays a credit.
  • 13. Adult Status & Minors

  • By signing this agreement, the Client/Subject confirms that they are 18 years of age or older and legally able to enter into this agreement.

    If the person being photographed is under 18, this agreement must instead be signed by their parent or legal guardian, who represents that they have legal authority to provide the permissions contained in this agreement.
  • 14. No Obligation to Publish

  • Permission to use photographs does not require studioROSE11 to publish, display, submit, or otherwise use any particular photograph.

    Likewise, delivery of photographs does not guarantee publication, gallery acceptance, editorial placement, or any other third-party opportunity.
  • 15. Changes to This Agreement

  • This agreement represents the understanding between studioROSE11 and the Client concerning the matters covered here.

    Any significant change to these terms should be made in writing and agreed to by both parties.

    Texts, emails, electronic records, or signed digital documents may be used to document later agreements between the parties.

  • 16. Governing Law

  • This agreement is governed by the laws of the State of New York.

    If any individual provision of this agreement is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

  • Agreement & Signatures

  • By signing below, both parties acknowledge that they have read and understood this agreement and agree to its terms.

    The Client/Subject understands that this agreement grants studioROSE11 continuing permission to use photographs as described above and that the agreement may serve as the standing image-use agreement for future photography sessions between the parties unless replaced or modified in writing.
