  • This Partner Program Registration Form (“Partner Form”) is governed by the ITRAK 365 Partner Program Agreement (“Partner Agreement”) available at https://itrak365.com/itrak-365-partner-program-agreement/ and the Subscription Services Agreement (“SSA”) available at https://itrak365.com/itrak-365-subscription-services-agreement/, as amended from time to time.

  • PARTNER INFORMATION

  • PROGRAM FEES

  • Partner shall pay the following fees to participate in the Program:

  • Co-Sell Partner: 

    “We sell together – from first demo to final signature.”

    Description: A Co-Seller Partner collaborates directly with ITRAK 365 throughout the sales cycle, including opportunity development, demonstrations, and proposal discussions. All pricing, contracting, and final customer agreements will be built collaboratively.

    Margin: Each Program Year, the Partner will receive a one-time margin of 20% of the ITRAK 365 subscription fees for the first three (3) new customer deals closed in that year. Beginning with the fourth (4th) deal closed in the same Program Year, the margin increases to 30%. Deal counts reset at the start of each Program Year, and do not carry over.

    A program-level cap of $25,000 per new customer applies to all co-sell incentives, unless otherwise agreed in writing.

  • Referral Partner: 

    “You sell the idea - we'll close the deal.”

    Description: A Referral Partner introduces ITRAK 365 to potential customers, helps create initial interest, and promotes the value of our solution. Once the opportunity is qualified, ITRAK 365 leads the sales process and manages all contracting and delivery.

    Referral Commission: For each referral that converts to a paid ITRAK 365 subscription, the Partner will receive a commission equal to 5% of the ITRAK 365 subscription fees.

    A program-level cap of $10,000 per new customer applies to all referral commissions, unless otherwise agreed in writing.

  • PROGRAM PROVISIONS

  • Restrictions. Incentives apply only to ITRAK 365 license subscription fees and exclude any Microsoft licenses, professional services/bundles, support, or other fees. The Partner shall not receive commissions for subsequent orders, auto-renewals, renewals, or subscriptions commencing more than twelve (12) months after registration of the Opportunity.

     *Auto-renewals and Renewals occurr at the end of the full initial term, not after 12 months.

     

    Standard Pricing. ITRAK 365 maintains a unified set of standard subscription rates applied consistently across all partners. These rates form the basis for invoicing and for calculating all commercial model incentives described in this form.

  • BILLING OPTIONS PREFERENCE

  • Direct Bill the Customer: 

    We invoice you, you invoice the customer. 

    ITRAK 365 will invoice the Partner at our standard subscription rates, reduced by any commercial model incentives the Partner has earned under this Program. The Partner invoices the Customer and has the flexibility to set customer-facing pricing in a way that best supports each opportunity. 

  • Bill through ITRAK 365: 

    We invoice the customer and rebate you.  

    ITRAK 365 invoices the customer directly at standard subscription rates and provides the Partner with a rebate equal to the commercial model incentives earned for that customer. Rebates are issued within sixty (60) days after ITRAK 365 receives payment from the customer.

  • Bill through Microsoft's Marketplace Transact: 

    Microsoft invoices and collects - we rebate you when Microsoft remits the funds to us.   

    With transact capabilities through Microsoft Marketplace, ITRAK 365’s offer is listed in Microsoft’s marketplace and Microsoft handles the customer billing, invoice, and payment collection. ITRAK 365 will provide the Partner with their earned commercial incentives, in the form of a rebate or payout, within sixty (60) days of ITRAK 365 receiving payment from Microsoft, pursuant to the marketplace terms.

  • AGREEMENT AND SIGNATURE

  • By signing below, you represent and warrant that you have full authority to execute this Partner Form on behalf of your organization, that you have read and understand all provisions contained herein, and that your organization agrees to be bound by the Partner Agreement and SSA. The Parties have agreed to and executed this Partner Form as of the Effective Date set forth below.
