Purpose:
The purpose of this Agreement is to establish an author referral program between Publisher and Referrer, wherein the referrer refers potential authors to Publisher for publishing services, and Publisher compensates the referrer with a bonus payment for successful author sign-ups.
Definitions:
a) "Referral" refers to the act of referrer recommending a potential author to Publisher for publishing services.
b) "Successful Author Sign-up" refers to a referral that results in an author signing a publishing agreement with Publisher and fulfilling the necessary criteria for publication.
Commission Structure:
a) Publisher agrees to pay referrer a bonus payment of AUD$300.00 for each Successful Author Sign-up referred by referrer.
Referral Process:
a) Referrer shall refer potential authors to Publisher by providing their contact information and relevant details through a mutually agreed referral method.
b) Publisher reserves the right to determine the eligibility of referrals and their suitability for publication.
Term and Termination:
a) This Agreement shall commence on the Effective Date and remain in effect for a period of 12 months from date of signing this agreement or terminated within that 12 months period by either party with 7 days prior written notice.
b) Either party may terminate this Agreement for material breach by providing written notice to the other party.
c) Upon termination, referrer shall cease all referral activities and Publisher shall pay any outstanding commissions owed to referrer.
Confidentiality:
Both parties agree to treat all non-public information received from the other party as confidential and shall not disclose it to any third party without prior written consent.
Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.
Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
IN WITNESS WHEREOF, the parties hereto have executed this Affiliation Agreement as of the Effective Date.
