I, Name * , herein called "Client" retain TWIN-OAK ATTORNEYS (the Attorney), herein called Attorney to take all legal action necessary to prosecute a claim for breach of warranty of habitability and related claims in respect of my apartment at Address * [hereinafter Services].

Attorney shall receive a fee of 33% of any amounts received by settlement before the filing date of any lawsuit, or demand for Arbitration. After a lawsuit is filed, or there is a Demand for Arbitration, then the Attorney’s fees shall be 40% of the gross amounts received.

i. Attorney will incur various costs and expenses in performing legal services under this Agreement.Client agrees to pay for all costs, disbursements and expenses in addition to the agreed fees. The costs and expenses commonly include, service of process charges, filing fees, court and deposition reporters' fees, jury fees, notary fees, deposition costs, long distance telephone charges, messenger and other delivery fees, postage, photocopying and other reproduction costs, travel costs including parking, mileage, transportation, meals and hotel costs, investigation expenses, consultants' fees, expert witness, professional, mediator, arbitrator and/or special master fees and other similar items.
ii. OUT OF TOWN TRAVEL: Client agrees to pay transportation, meals, lodging and all other costs of any necessary out-of-town travel by Attorney’s personnel. However, Attorney shall waive all the hourly rates for the time legal personnel spend traveling as this is a contingency retainer.
iii. EXPERTS: Consultants and Investigators. To aid in the preparation or presentation of Client’s case, it may become necessary to hire expert witnesses, consultants or investigators. Client agrees to pay such fees and charges. Attorney will select any expert witnesses, consultants or investigators to be hired, and Client will be informed of persons chosen and their charges
iv. Additionally, Client understands that if the matter proceeds to court action or arbitration, Client maybe required to pay fees and/or costs to other parties in the action. Any such payment will be entirely the responsibility of Client.

Attorney is authorized to deduct from Client’s share of the recovered proceeds all costs and expenses advanced by attorney and deduct any balances due to any lien holder

d. Arbitration* This field is required.Click each to Acknowledge
Attorney does not presently maintain errors and omissions insurance covering the services rendered under this agreement. Any dispute between the parties as to attorney fees and/or costs charged under this Agreement shall be resolved as follows: If a fees and/or costs dispute arises, Attorney will provide Client with written notice of Client's right to arbitrate under the California State Bar Act (Bus.&Prof.C. §6200 et seq.). Client and Attorney may thereafter agree that the arbitration will be binding or that the dispute will ultimately be resolved by another form of binding arbitration. Any other dispute arising under this agreement or in connection with the provision of legal services by Attorney, including, without limitation, any claim for breach of contract, professional negligence or breach of fiduciary duty, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

By signing this agreement, Client acknowledges that this agreement to arbitrate results in waiver of client's right to a court or jury trial for any fee dispute or malpractice claim. this also means that Client is giving up Client's right to discovery and appeal. If Client later refuses to submit to arbitration after agreeing to do so, Client may be required to arbitrate pursuant to the provisions of the law. Client acknowledges that before signing this agreement and agreeing to binding arbitration. Client is entitled, and has been given a reasonable opportunity, to seek the advice of independent counsel.

f. Address and Contact Changes and Authority to Settle Claims/Case* This field is required.Click each to Acknowledge
Client shall promptly notify Attorney of a change of address or telephone number. Should Attorney be unable to contact Client for 30 consecutive days either by telephone or mail, Attorney is authorized to settleClient’s legal claim upon such terms and for such sums as Attorney deems proper. Attorney shall deduct all fees and costs due to him, pay lien holders and place the balance belonging to Client in Attorney’s TrustAccount, or in a separate bank account under the Client’s name to be held by such bank until Client, his trustee, or his heirs claim such sums, or until the account is terminated by operation of law.
g. Attorney at his discretion and expense may employ associate counsel.

h. Disclaimer of Guarantee* This field is required.Click each to Acknowledge
Nothing in this agreement and nothing in Attorneys' statements to Client will be construed as a promise or guarantee about the outcome of Client's matter. Attorneys make no such promises or guarantees. Attorneys' comments about the outcome of Client's matter are expressions of opinion only.
i. Attorney shall not settle this matter without the approval of Client. Attorney guarantees that unless there isa recovery, Client shall owe attorney nothing for services rendered.
j. Attorney reserves the right to withdraw from representation for Client if in Attorney’s opinion there is insufficient proof of liability, or damages sustained do not warrant further prosecution, or there is no liability insurance coverage, or the claim cannot be maintained in good faith. The notice of withdrawal will be sent in writing to Client’s last known address.
k. The fees herein set forth are not regulated by law and are the result of mutual consent and negotiations between ATTORNEY and CLIENT.

l. Electronic Communication: Client consents to always receive communication by way of email and/or facsimile from Attorney and Client, and the best email address to reach the client is Email Address * .

m. The foregoing contingency agreement refers to services in the trial court only. Fees for services on appeal shall be between the Attorney and Client, and any oral agreements not in this retainer are invalid.
