Terms and Conditions of Equipment Loan
The purpose of this form is to formalize our understanding regarding your intention to loan certain equipment from VORTEX XR LAB and to set forth our mutual understandings regarding the care, custody and disposition of such equipment. The Borrower identified above certifies and warrants that it has free and clear title to such equipment and that it intends to transfer custody only and to retain ownership and title to equipment during the Loan Period. The Equipment that is covered by this Agreement ("VORTEX Equipment Loan Form) shall be identified as Exhibit A.
The Borrower will loan the equipment from VORTEX XR LAB on the terms and conditions of this agreement.The equipment loan period shall be from what was written in the previous section.The loan period may be extended or terminated by written mutual consent of both parties. No variation or amendment of this agreement will be effective unless it is made in writing and signed by both parties.
Collection and Delivery of Equipment

The Loaned Equipment will be picked up at VORTEX XR LAB, on the first day of the stated loan period. At the end of the loan period, or any mutually agreed-upon extensions thereto, the Loaned Equipment will be returned to VORTEX XR LAB by the Borrower, at the Borrower's direction and expense.
Payment

The equipment is being loaned free of charge.
Responsible for Loss or Damage

The borrower is responsible for any loss or damage to the Equipment from the time Borrower takes possession of it until it is returned to the possession of VORTEX XR LAB.
Termination

Either Party may terminate this Agreement at any time by giving 1 day's written notice to the other Party. In Addition, VORTEX XR LAB may terminate this Agreement immediately in the event of the Borrower's failure to comply with any of the terms and conditions of this Agreement.
Assignment

This Agreement is personal and Borrower shall not assign this Agreement or any privileges granted hereunder without the prior written consent of VORTEX XR LAB.
