  • Payment Agreement - Direct Debit ('Agreement') - Terms and Conditions

    Direct Debit Authorisation and Frequency

    1. You authorise the International Wing Chun Academy ('Academy') to debit fortnightly payments from your bank account every two weeks from the Commencement Date. Each fortnightly payment will amount to your membership's Cost Per Week multiplied by two.
    2. Direct debits scheduled for a weekend or public holiday may occur on the next non-public holiday weekday.
    3. Your first fortnightly payment may take up to two weeks to be processed. Please ensure that you have enough funds in your account to cover at least two fortnightly payments.

    Minimum Term and Minimum Total Cost

    1. You must complete both the Minimum Term and Minimum Total Cost of the membership that you have chosen. By entering into this Agreement, you accept that your enrolment is final and represent that there is nothing that may foreseeably prevent you from completing your membership's Minimum Term and Minimum Total Cost.
    2. To interpret the length of your Minimum Term, 3 months shall mean 12 weeks (6 fortnights), 6 months shall mean 26 weeks (13 fortnights), and 12 months shall mean 52 weeks (26 fortnights).
    3. This is not a fixed-term contract. Once you have completed your membership's Minimum Term and Minimum Total Cost, your membership will continue, and fortnightly payments will be debited from your Payment Method at the non-discounted rate until you terminate under this Agreement.
    4. Your non-discounted rate may increase after you complete your Minimum Term. If this is due to occur, we will notify you by email at least four weeks in advance.

    In the Event of a Failed Payment

    1. In the event of a failed direct debit attempt, our direct debit provider ('EziDebit') may charge you a fee of up to $21.90 (subject to change without notice). Your bank may also charge you a fee.
    2. Further to clause 8, a late payment fee of $10 per failed payment will be payable to the Academy.
    3. You must promptly settle all failed payments and late payment fees through wingchun.edu.au/payment. If a failed payment or late payment fee remains overdue by:
      (a) One week or more, you will no longer be able to attend classes or Gradings until you have paid both the failed payment and late payment fee.
      (b) Eight weeks or more, we may deem you to have defaulted on this Agreement and you consent to us referring your account and personal information to a debt recovery service to recover: (1) all failed payments and late payment fees, (2) the remaining balance of your membership's Minimum Total Cost (if applicable), and (3) a recovery fee of $150 or 35% of the recoverable amount, whichever is greater. Should you fail to pay the recoverable amount and recovery fee, you agree to be held liable for all reasonable legal costs incurred by the Academy in commencing proceedings against you to recover all monies owed.
    4. You agree not to initiate any chargeback, transaction dispute or reversal in respect of any payment made to the Academy under this Agreement, and agree to indemnify the Academy against any fees incurred as a result of any such chargeback, transaction dispute or reversal.

    Change of Training Location, Suspension or Termination

    1. You may request to change your training location a maximum of once every three months by emailing sydney@wingchun.edu.au at least one week in advance.
    2. You may suspend your membership on a Monday in whole-week increments for up to eight weeks, provided that you allow at least four weeks between suspension periods.
    3. To suspend your membership, you must complete the Suspension Form at wingchun.edu.au/suspend at least five days in advance.
    4. Our training locations are closed on public holidays and for up to four weeks from December to January. Suspensions during these times are not automatic and must be submitted at least five days before our end-of-year closure. Closure dates are posted on our website at least two weeks in advance.
    5. Subject to clauses 17 to 20, you may terminate your current, unsuspended membership by completing an electronic Termination Form at least two weeks before your Termination Date. This form may be requested by emailing sydney@wingchun.edu.au.
    6. If you wish to terminate your membership before completing its Minimum Term and Minimum Total Cost, you must submit a lump sum payment for the remaining balance of its Minimum Total Cost to the Academy.
    7. If you cannot continue training in any capacity due to permanent disability or equivalent permanent physical incapacity (excluding recoverable illness, injury or surgery) diagnosed after your Commencement Date, clause 17 shall not apply, provided that you follow clause 16 and submit a valid medical certificate and payment of 35% of your membership's remaining Minimum Total Cost to the Academy. The medical certificate must clearly substantiate: (1) your condition, (2) date of diagnosis, and (3) how it prevents you from training with us in any capacity for at least twelve months.
    8. If you cannot continue training due to permanent relocation away from NSW for at least twelve months, clause 17 shall not apply, provided that you follow clause 16 and submit proof of your permanent relocation (subject to our acceptance) and payment of 50% of your membership's remaining Minimum Total Cost to the Academy.
    9. You must settle any fees owed to the Academy before requesting termination.
    10. If you are on a Once or Twice a Week membership, you may bank up to two missed classes to use in addition to your weekly class quota while your membership is active.
    11. Except as provided for by clause 21, regardless of whether you choose to attend classes or not, we cannot offer any refund or credit if you fail to suspend or terminate your membership under this Agreement.
    12. In the event of a public health order that limits or prevents us from running our classes, we may suspend your membership while such limitations apply. This suspension will not reduce your Minimum Term or Minimum Total Cost liability.

    Headings, Governing Law and Severability

    1. Headings and subheadings shall not form part of this Agreement and shall not be used in the interpretation or construction of this Agreement.
    2. This Agreement shall be interpreted under and governed by the laws of NSW.
    3. Any part of this Agreement that is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity or enforceability of the remainder of this Agreement shall not be affected.
    4. By entering into this Agreement, you also agree to the terms of the EziDebit DDR Service Agreement, accessible at wingchun.edu.au/ezidebit.

    1. Depending on your Membership Term, your payment will cover six months (26 weeks) or twelve months (52 weeks) of your membership at your nominated Training Location starting on your Commencement Date.
    2. Your membership will commence on the Commencement Date nominated above, regardless of whether or not the enrolled student attends classes.
    3. You may postpone your Commencement Date by up to three months by notifying sydney@wingchun.edu.au at least one week before your scheduled Commencement Date.
    4. You may suspend your membership on a Monday in whole-week increments for up to eight weeks, provided that you allow at least four weeks between suspension periods.
    5. To suspend your membership, you must complete the Suspension Form at wingchun.edu.au/suspend at least five days in advance.
    6. Our training locations are closed on public holidays and for up to four weeks from December to January. Suspensions during these times are not automatic and must be submitted at least five days before our end-of-year closure. Closure dates are posted on our website at least two weeks in advance.
    7. Your payment is non-transferable and non-refundable.

      Information Provided to the Academy and Privacy Policy

      1. The information I have provided is correct and complete, and I will inform the International Wing Chun Academy ('Academy') immediately if any of it changes.
      2. I accept that my information will be handled in accordance with the Academy's Privacy Policy, accessible at wingchun.edu.au/privacy.

      Policies, Procedures, Rules and Regulations

      1. I will abide by all Policies, Procedures, Rules, and Regulations stipulated and amended by the Academy from time to time, current versions of which are published at wingchun.edu.au/policies. Any change shall take effect 14 days after its date of publication.
      2. I agree to cooperate with the reasonable directions and instructions of Academy employees, trainers, and representatives acting in the performance of their duties.
      3. I accept that I will be liable to compensate the Academy for any damage I intentionally or recklessly cause to any property or equipment owned or used by the Academy.
      4. I will only use the skills taught to me in self-defence and will refrain from any behaviour that may bring the Academy's reputation into disrepute.
      5. I accept that a serious breach of any term of this Agreement or the Academy's Policies, Procedures, Rules or Regulations may lead to my immediate expulsion from the Academy.

      Undertaking Not to Teach or Instruct Others in Wing Chun

      1. I will not teach or offer instruction in the martial art of Wing Chun, whether for fee or reward or on an organised basis, during my time with the Academy, except with the express written consent of the Academy's Managing Director.
      2. I understand that the Academy's training programmes, Grading systems and sequences, and other teaching and training materials are its unique intellectual property protected by federal legislation and common law.

      Absence from Training

      1. I understand that I must attend at least twelve classes at the Academy per calendar year at my current Grade or Level ranking to retain that ranking.

      In the Event of an Emergency

      1. I authorise the Academy and any of its employees, trainers, or representatives to call an ambulance for me if, at their sole and absolute discretion, they deem it necessary.
      2. I understand that ambulance and medical costs arising from my treatment are my responsibility and are payable by me directly to the relevant provider. I agree to reimburse the Academy for any ambulance call-out charges invoiced to the Academy on my behalf.

      Martial Arts Insurance Cover

      1. I understand that the Academy currently holds a limited martial arts insurance policy covering participants aged 4 to 80 years old while participating in classes and activities conducted or organised by the Academy.
      2. I understand that I should maintain my own insurance in case I am not covered under the policy mentioned in clause 13.
      3. I acknowledge that any injury I sustain while participating in classes or activities conducted or organised by the Academy must be reported to an Academy employee or trainer immediately upon occurrence of the incident.
      4. I understand that any claim under the policy mentioned in clause 13 is assessed and determined by the insurer under the terms, conditions, exclusions and limits of that policy, and that the Academy makes no representation that any particular claim will be accepted.

      Child-Related Policies (Participants Under 18)

      1. I understand that the Academy is a child safe organisation and that its Child Safe Policies are available at wingchun.edu.au/policies. The following clauses 18 to 22 inclusive shall apply where the Participant is under 18.
      2. I have reviewed and accepted the Academy's Disciplinary Policy at wingchun.edu.au/policies, and understand that while enrolled at the Academy, my child must:
        • Arrive on time for class.
        • Wear the correct Academy uniform.
        • Make a reasonable effort to focus and participate in the entire class, including the warm-up and workout (if applicable).
        • Follow the reasonable instructions of staff, trainers and volunteers acting in the performance of their duties.
        • Be respectful towards staff, trainers, volunteers and fellow students.
        • Follow the Academy Rules at all times.
      3. I have reviewed and accepted the Academy's Drop-Off and Pick-Up Policy at wingchun.edu.au/policies, and understand my responsibilities regarding my child's:
        • Appropriate and timely drop-off by a responsible adult.
        • Appropriate and timely pick-up by a parent, legal guardian or Authorised Person.
      4. If someone other than my child's parent or legal guardian is to pick them up, I understand that I must nominate them as an Authorised Person by completing the Authorised Person Nomination Form linked at wingchun.edu.au/policies at least one week in advance.
      5. I accept that reasonable Late Pick-Up Fees apply as set out in the Drop-Off and Pick-Up Policy (currently $10 per 10-minute interval after a 10-minute grace period, or as varied in accordance with clause 3), and consent to the Academy charging the applicable Late Pick-Up Fees to my account on file.
      6. If my child is aged 12 or above, I consent to their independent arrival at and departure from the Academy's premises, and I accept that the Academy is not responsible for my child's supervision or safety while travelling to or from the premises, before their arrival for class, or after the scheduled conclusion of class.

      Headings, Governing Law and Severability

      1. Headings and subheadings shall not form part of this Agreement and shall not be used in the interpretation or construction of this Agreement.
      2. This Agreement shall be interpreted under and governed by the laws of NSW.
      3. Any clause or term of this Agreement that is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity or enforceability of the remainder of this Agreement shall not be affected.
      4. Nothing in this Agreement excludes, restricts, or modifies any term, condition, warranty, guarantee, right, or remedy implied or imposed by law that cannot lawfully be excluded, restricted, or modified.
    • Recreational Activity Risk Warning, Acknowledgement, Waiver and Release

      1. Martial arts, self-defence and fitness training ('Recreational Activities') supplied by the International Wing Chun Academy (the 'Service Provider') are dangerous activities involving significant risks, including the risk of personal injury and death. Particular risks include, but are not limited to, bruises, cuts, sprains, strains, dislocations, fractures and concussions.
      2. Before participating in the Recreational Activities, you must ensure that you are aware of and understand all the risks involved and that those risks will include any particular risks associated with any health condition or pre-existing injury or disability from which you suffer.
      3. By signing this document, you acknowledge, agree and understand that you engage or participate in the Recreational Activities voluntarily and at your own risk with full knowledge of all the risks involved.
      4. If you are signing this document as the parent or legal guardian of the Participant, you acknowledge and agree that you have explained all the risks involved in the Recreational Activities to the Participant.
      5. By signing this document, you acknowledge, agree and understand that the risk warning above constitutes a formal 'risk warning' for the purposes of section 5M of the Civil Liability Act 2002 (NSW).
      6. If the Participant is under 18 years of age, the risk warning above is given to both the Participant and any parent or legal guardian who signs this document, including for the purposes of section 5M(2) of the Civil Liability Act 2002 (NSW) where the Participant is not capable of understanding the risk warning.
      7. Section 139A of the Competition and Consumer Act 2010 (Cth) (the 'CCA') permits the Service Provider of the Recreational Activities and associated services to ask you to agree that certain statutory guarantees under the Australian Consumer Law (Cth) do not apply to you.
      8. By signing this document, you acknowledge, agree and understand that, to the maximum extent permitted by law (including section 139A of the CCA), the Service Provider excludes all liability in connection with the supply of recreational services for:
        1. death;
        2. physical or mental injury (including the aggravation, acceleration or recurrence of such an injury);
        3. the contraction, aggravation or acceleration of a disease;
        4. the coming into existence, the aggravation, acceleration or recurrence of any other condition, circumstance, occurrence, activity, form of behaviour, course of conduct or state of affairs in relation to an individual, that is or may be harmful or disadvantageous to the individual or community, or that may result in harm or disadvantage to the individual or community.
      9. The Civil Liability Act 2002 (NSW) (the 'CLA') permits the Service Provider, as a supplier of recreation services, to exclude liability for damages for harm resulting from a breach of an express or implied warranty that the services will be rendered with reasonable care and skill.
      10. By signing this document, you acknowledge, agree and understand that, to the maximum extent permitted by law (including section 5N of the CLA), the Service Provider excludes all liability for damages for any harm (including, but not limited to, personal injury or death, damage to property and economic loss, whether direct, indirect, special or consequential) from a failure to exercise reasonable care and skill, regardless of whether the claim is brought in tort (including in negligence), in contract, under statute or otherwise, where such liability results from the breach of an express or implied warranty that the services will be rendered with reasonable care and skill.
      11. By signing this document, to the maximum extent permitted by law, you (or the Participant, if you are signing as their parent or legal guardian) agree to waive and release the Service Provider, its servants and agents from any claim, right or cause of action which you or your heirs, successors, executors, administrators, agents and assigns might otherwise have against the Service Provider, its servants and agents for or arising out of your death or physical or mental injury, disease, loss and damage, or economic loss of any description whatsoever which you may suffer or sustain in the course of or consequential upon or incidental to your participation in the Recreational Activities, whether caused by the negligence of the Service Provider, its servants and agents, or otherwise.
      12. By signing this document, you acknowledge, agree and understand that:
        1. The Service Provider will permit you (or the Participant) to participate in the Recreational Activities and provide you/them with the associated services, in part in consideration of you signing this document;
        2. The Service Provider may rely on this document in any proceedings commenced in any Court by you or your heirs, executors and assigns (or those of the Participant);
        3. The laws of New South Wales shall govern this document.
      13. If you are signing this document electronically, you consent to your electronic signature being used to (1) execute this document and (2) communicate your acknowledgement, understanding and agreement in respect of it. An electronic copy of this document bearing your signature and IP address will be emailed to you for your records.

      Nothing in this document excludes, restricts, or modifies any term, condition, warranty, guarantee, right, or remedy that cannot lawfully be excluded, restricted, or modified. Except as expressly included in the terms of this document, all implied terms, conditions, warranties, rights, or other additional obligations that can be lawfully excluded are excluded from the terms of this document. If any part of this document is wholly or partially void or unenforceable, it is severed to the extent that it is void or unenforceable, and the remainder of this document is not affected.
