The Parties hereby authorize SHAYK® to record their voices and their surroundings, convert their conversations into written records, utilize their written records to create written agreements, and circulate the written agreements between the Parties for execution via electronic signature.The Parties acknowledge and agree that a legally binding written agreement cannot be formed with the SHAYK Recorder without paying a one-time transaction authorizing SHAYK to place the Parties' written record into a legally binding agreement and obtain electronic signatures from the Parties.The Parties understand that the SHAYK Recorder is a DIY contract formation service that does not constitute legal advice from and or establish an attorney-client relationship with anyone.The Parties represent and warrant to each other and SHAYK that they are who they say they are, speak the truth, and using the SHAYK Recorder for honest pursuits.The Parties represent, warrant, and agree that their usage of the SHAYK Recorder evinces their intent to form any agreement based on the terms of their oral agreement, and that the enforceability of any agreements made with the SHAYK Recorder is ultimately determined by a court of law with jurisdiction over the Parties.The Parties acknowledge and agree that SHAYK is not responsible for any misrepresentations made amongst or between the Parties when using the SHAYK Recorder.The Parties consent to using the SHAYK Recorder to undo any agreements made with the Recorder.

WHAT IS THE SHAYK® RECORDER AND HOW DOES IT WORK?

The SHAYK Recorder is a contract formation service. Legally, it works by converting an oral agreement between the above-named Parties that would otherwise be uneforceable under the statute of frauds into a legally binding written agreement between the Parties containing terms based on those of the oral agreement. Technologically, it works by capturing a recording of the oral agreement, using the SHAYK AI to convert the recording into written record (i.e., a transcript), creating a written agreement from the written record, and facilitaing execution of the written agreement by gathering electronic signatures from the Parties.

WHAT KIND OF AGREEMENTS CAN BE FORMED WITH THE SHAYK RECORDER?

Forming a binding agreement requires offer, consideration, and acceptable, all of which can be utilized by the SHAYK Recorder to bind the Parties, making the Recorder useful for entering into and/or exiting any type of binding agreement, including those that are much longer in length and/or more comprehensive.

WHY CAN'T I JUST RELY ON AN ORAL AGREEMENT?

Oral agreements are not broadly enforceable in court. For example, in many jurisdictions, becuase of the statute of frauds and laws based thereon, an oral agreement used for the sale of goods for priced at five hundred dollars or more may not not enforceable by way of action or defense unless there is some writing sufficient to indicate that a contract for sale has been made between the parties and signed by the party against whom enforcement is sought or by his or her authorized agent or broker. The SHAYK Recorder is a superior option because it converts the otherwise non-binding terms of an oral agreement into terms of a written agreement that are far more likely to be enforceable in court.

I AM NOT A LAWYER. WHAT IF THE TERMS OF OUR ORAL AGREEMENT ARE NOT PERFECT?

Any agreement executed via the SHAYK Recorder is evidence of an agreement between the Parties, the terms of that Agreement, and their intent to be bound those terms. This is true even if the terms themselves are not artfully, legally correctly, and/or even completely stated, so long as a reviewing court has enough from which to infer the general intent of the Parties. Moreover, some jurisdictions have laws expressly recognizing that a written contract may be enforceable even it omits or incorrectly states a term agreed upon, allowing the courts to infer the Parties intent from the facts and enforce that to the extent possible.

DOES ANYONE ON THE SHAYK TEAM REVIEW MY AGREEMENTS?

No. We are offering a contract formation service that allows the Parties to enter into legally binding terms, whatever they might be, without any form internal or third party review.

WILL I RECIEVE A COPY OF THE EXECUTED AGREEMENT?

Yes. Our system will send you a copy of the executed agreement via email once all of the Parties have provided their digital signatures.

CAN I OBTAIN A COPY OF THE EXECUTED AGREEMENT AT A LATER DATE?

Please use the SHAYK® Vault if you would like us to store and maintain an authentic of the executed agreement on your behalf for future reference. We otherwise cannot guaranttee its availability.

HOW DO I EXIT OR TERMINATE AN AGREEMENT FORMED WITH THE SHAYK RECORDER?

By executing another written agreement. For example, you can utilize the SHAYK Recorder to record a statement including an oral agreement between the Parties that references your previous agreement and current intent to terminate it, convert the recorded statement into a written record, create a written termination agreement based on the written record, and circulate the written termination agreement for signature. In this example, for added clarity, you can upload your current contract as a supporting document for the new agreement.

CAN THE SHAYK TEAM HELP ME ENFORCE A CONTRACT FORMED WITH SHAYK RECORDER?

No. Our parent company (Shayk Technologies, Inc.) is not a law firm and forming an agreement with the SHAYK Recorder does not does not form an attorney-client relationship with anyone, meaning that we cannot help you with enforcement.

CAN THE SHAYK TEAM REFER ME TO ANOTHER WHO CAN HELP WITH ENFORCEMENT?

Yes. To help with this, we offer the SHAYK® Enforcer - a legal referral service for finding, qualifying, engaging, and retaining a licensed professional who is qualified and motivated to help you enforce any agreements formed with the SHAYK Recorder.
